This Business Monthly Document (the "Agreement") is entered into between Client Name: and Service Provider Name: for the monthly period of .

WHEREAS

WHEREAS, Client requires recurring monthly services described herein and has engaged Provider to perform such services pursuant to the terms of this Agreement; and

WHEREAS, Provider represents that it has the experience, personnel, and capacity to perform the services on a monthly basis in a professional and workmanlike manner; and

WHEREAS, the parties desire to set forth their respective rights and obligations, including payment terms, confidentiality obligations, term and termination, and governing law.

Scope of Work

Provider shall perform the services described below each month in accordance with the schedule and standards set forth in this Agreement. Provider shall supply all labor, materials, tools and supervision necessary to complete the work unless otherwise agreed in writing.

Payment Terms

Client shall pay Provider a recurring monthly fee in consideration for services rendered. The parties agree to the following payment schedule and conditions:

Payments are due within days from invoice date. Unpaid amounts shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law.

Term and Termination

This Agreement commences on Start Date: and continues through End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the desired termination date. Either party may terminate immediately for material breach by the other party that remains uncured for a period of 15 days after written notice of such breach.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other whether in writing, orally or by inspection of tangible objects that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. The receiving party shall: (a) hold Confidential Information in strict confidence and not disclose it to any third party except as expressly permitted in this Agreement; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure.

Confidential obligations shall not apply to information that: (i) is or becomes generally available to the public through no fault of the receiving party; (ii) was rightfully in the receiving party's possession prior to disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information. Upon termination or request, the receiving party shall return or destroy Confidential Information and certify such destruction if requested.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. The parties agree to seek prompt resolution of disputes and, if unresolved within 30 days, to submit the dispute to mediation prior to initiating any litigation.

Miscellaneous Provisions

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets.

Amendment: This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

Entire Agreement

This Agreement, including any exhibits and written statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written.
