BUSINESS MOO DOCUMENT

This Memorandum of Understanding (the Agreement) is made effective as of by and between:

Parties

Recitals

WHEREAS, Client engages in the business of operating and managing its commercial activities and desires to retain Service Provider to perform certain services on the terms set forth herein; and

WHEREAS, Service Provider has represented that it has the expertise, personnel, and resources necessary to perform the services described in this Agreement and is willing to provide such services to Client in accordance with the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Agreement, the Parties agree as follows:

Scope of Work

Service Provider shall perform the services described above with reasonable care, in a timely manner, and in accordance with industry standards. Any material changes to the scope of work shall be documented in a written amendment executed by both Parties.

Payment Terms

Service Provider shall submit invoices to Client in accordance with the Payment Schedule. Client shall remit payment within days of receipt of a proper invoice. Late payments shall incur interest at a rate of on the unpaid balance, calculated monthly, or the maximum rate permitted by law, whichever is lower.

Term and Termination

This Agreement will commence on and continue until unless earlier terminated as provided below.

Either Party may terminate this Agreement for convenience upon written notice to the other Party given at least days prior to termination. Either Party may terminate immediately for material breach if the breach is not cured within thirty (30) days after written notice specifying the breach.

Confidentiality

For the purposes of this Agreement, "Confidential Information" means non-public business, technical, financial, or other information disclosed by one Party to the other, whether in written, oral, electronic, or other tangible form. Each Party agrees: (a) to hold Confidential Information of the other Party in strict confidence; (b) not to disclose such Confidential Information to any third party without the prior written consent of the disclosing Party; and (c) to use Confidential Information only for the purposes of performing under this Agreement. The receiving Party shall take reasonable measures to protect Confidential Information from unauthorized disclosure.

Confidential obligations shall survive termination of this Agreement for a period of from the date of disclosure, except with respect to trade secrets, which shall be protected for as long as they remain trade secrets under applicable law.

Independent Contractor; Indemnification

Service Provider is an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employer-employee relationship. Each Party shall indemnify, defend, and hold harmless the other Party from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from the indemnifying Party's negligence or willful misconduct in connection with its performance under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. Any disputes arising out of or relating to this Agreement shall be resolved in the courts located within that state, and the Parties hereby submit to the exclusive jurisdiction of such courts.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a Party may designate by written notice. Notices shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or sent by overnight courier.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The headings in this Agreement are for convenience only and shall not affect interpretation. Neither Party may assign its rights or obligations under this Agreement without the prior written consent of the other Party, except that either Party may assign its rights to an affiliate or in connection with a merger, sale of substantially all assets, or corporate reorganization.
