Parties and Recitals

This Business Memorandum of Services (the "Agreement") is entered into as of by and between:

WHEREAS, Client Name: requires certain business services and has engaged Service Provider: to perform such services; and

WHEREAS, Service Provider has represented that it possesses the experience, personnel, and facilities necessary to perform the services described herein and agrees to perform such services under the terms and conditions set forth in this Agreement.

Scope of Work

Service Provider shall provide the services, deliverables, and responsibilities described below. The description shall include work tasks, milestones, deliverables, and acceptance criteria. Any changes to the Scope of Work must be documented in a written change order signed by both parties.

Payment Terms

As consideration for the performance of the Scope of Work, Client shall pay Service Provider in accordance with the terms below. All fees shall be paid in U.S. dollars unless otherwise agreed in writing.

Invoices shall be submitted in accordance with the Payment Schedule. Client shall pay undisputed invoices within days of receipt. All amounts not paid when due shall incur interest at the lesser of (a) % per month or (b) the maximum rate permitted by law. Client shall also be responsible for reasonable collection costs, including attorneys' fees, for delinquent amounts.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue in full force until the End Date, unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective date of termination. Either party may terminate immediately for material breach that is not cured within thirty (30) days after written notice of such breach or immediately upon insolvency, bankruptcy filing, or appointment of a receiver for the other party.

Confidentiality

"Confidential Information" means non-public business, technical and financial information disclosed by a disclosing party to a receiving party, whether disclosed orally or in writing, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that (a) is or becomes publicly available through no fault of the receiving party; (b) was lawfully known to the receiving party prior to disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall (i) use Confidential Information solely for the performance of this Agreement; (ii) restrict disclosure to employees, agents and subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein; and (iii) take reasonable measures to protect Confidential Information from unauthorized disclosure. Upon termination of this Agreement, the receiving party shall return or destroy Confidential Information at the disclosing party's option, except to the extent retention is required by law, in which case such retained Confidential Information shall remain subject to the confidentiality obligations herein.

Independent Contractor; Indemnification

Service Provider is an independent contractor. Neither party is an agent, partner, or joint venturer of the other, and neither party has authority to bind the other. Each party shall be responsible for its own taxes and benefits. Service Provider shall defend, indemnify and hold harmless Client from and against any claims, liabilities, losses, damages and expenses arising from Service Provider's breach of this Agreement, negligence, or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for purposes of any action arising out of this Agreement.

Entire Agreement; Amendments

This Agreement, including all exhibits, schedules and written change orders executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and representations, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as either party may specify in writing.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. The failure of either party to enforce any right or remedy under this Agreement shall not constitute a waiver of any other right or remedy. Headings are for convenience only and shall not affect interpretation.
