BUSINESS MOSER DOCUMENT

This Business Services Agreement (the "Agreement") is entered into as of (Effective Date), by and between:

RECITALS

WHEREAS, Client desires to retain Contractor to perform certain business services as described in this Agreement; and

WHEREAS, Contractor has represented that it has the expertise, personnel, and resources necessary to perform such services and is willing to provide such services to Client on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth the terms and conditions governing their respective rights and obligations with respect to the services to be provided.

SCOPE OF WORK

Contractor shall perform the services described below (collectively, the "Services"). Contractor shall perform the Services in a professional and timely manner in accordance with industry standards and the terms of this Agreement.

PAYMENT TERMS

As consideration for the Services, Client shall pay Contractor the fees and expenses set forth below. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Late payments shall accrue interest at the rate of on the outstanding balance, commencing on the date payment is due. In addition, Client shall reimburse Contractor for reasonable collection costs, including attorneys' fees, incurred to collect overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing the other party with days' prior written notice. Either party may terminate immediately for material breach by the other party that remains uncured for a period of thirty (30) days after written notice of such breach. Termination shall not relieve Client of the obligation to pay for Services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") acknowledges that in the course of performing under this Agreement it may receive confidential or proprietary information of the other party (the "Disclosing Party"). The Receiving Party shall: (a) hold the Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as permitted hereunder; and (c) use Confidential Information solely to perform its obligations under this Agreement. Confidential Information does not include information that: (i) is or becomes publicly available through no breach of this Agreement; (ii) is rightfully received from a third party without restriction; or (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

Upon termination or expiration of this Agreement, the Receiving Party shall promptly return or destroy all Confidential Information of the Disclosing Party and certify such return or destruction in writing upon request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising under this Agreement.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any and all third-party claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's (a) breach of this Agreement, (b) gross negligence or willful misconduct, or (c) violation of applicable law in connection with the performance of this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attachments and written exhibits executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, representations, understandings, and agreements, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

NOTICES

All notices, requests, consents and other communications under this Agreement shall be in writing and shall be delivered to the addresses set forth below (or such other address as a party may designate by notice in accordance with this Section).

MISCELLANEOUS

If any provision of this Agreement is held to be invalid, illegal or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable and the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement shall be construed to create a partnership, joint venture, agency or employment relationship between the parties.
