This Business Motivation Document (the "Document") is entered into as of between:

WHEREAS, First Party is engaged in the business of providing strategic planning, product development and go-to-market advisory services and seeks to document the business motivation, objectives and proposed resource commitments for a joint initiative with Second Party (the "Initiative");

WHEREAS, Second Party possesses complementary capabilities and desires to evaluate and, if agreed, collaborate with First Party to achieve the objectives described in this Document, subject to the terms and conditions set forth herein;

WHEREAS, the parties intend for this Document to set forth the scope, deliverables, financial framework and governance that will guide negotiation and potential execution of a definitive agreement.

SCOPE OF WORK

The parties agree the Initiative shall include the following activities, deliverables and responsibilities. Specific timelines, milestones and acceptance criteria will be mutually agreed in writing.

PAYMENT TERMS

The parties agree that compensation for services and deliverables under this Document shall be governed by the following terms:

Invoices shall be issued in writing and payments are due within calendar days of invoice receipt unless otherwise specified in a subsequent definitive agreement. All fees are exclusive of applicable taxes, which shall be the responsibility of the party obligated by law to remit such taxes.

TERM AND TERMINATION

This Document shall commence on the Start Date and shall continue until the End Date or until earlier termination as provided below.

Either party may terminate this Document for convenience upon written notice delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

For the purposes of this Document, "Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or that a reasonable person would understand to be confidential. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Document; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by law or court order, provided the receiving party gives prompt notice to the disclosing party to allow intervention or protective measures.

The receiving party shall: (i) use Confidential Information solely to evaluate and perform the Initiative; (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care; and (iii) not disclose Confidential Information to any third party except to representatives who have a need to know and are bound to confidentiality obligations no less restrictive than those herein.

This Document shall be governed by and construed in accordance with the laws of:

This Document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, representations, warranties and agreements, whether written or oral. Any amendment or modification to this Document must be made in writing and signed by authorized representatives of both parties.

ADDITIONAL PROVISIONS

Each party represents and warrants that it has full power and authority to enter into this Document and to perform its obligations hereunder. Neither party shall assign this Document without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets.
