Recitals

WHEREAS, Party A is engaged in the business of providing managed products, services, consulting and related deliverables (collectively, the Services); and

WHEREAS, Party B desires to retain Party A to perform certain Services under the terms and conditions set forth in this Master Performance and Consulting Agreement effective as of , and the Parties wish to set forth their respective rights and obligations.

WHEREAS, the Parties intend that specific statements of work or schedules executed under this Agreement will identify the Services, deliverables and payment applicable to each engagement.

Scope of Work

The Services to be provided under this Agreement shall be described in an individual Statement of Work signed by both Parties. Each Statement of Work shall become part of and subject to this Agreement.

Payment Terms

As consideration for the Services, Party B will pay Party A in accordance with the terms set forth in the applicable Statement of Work and as summarized below.

Any undisputed amount not paid when due shall accrue interest at the rate of or the maximum rate permitted by law, whichever is less. Late payments shall also be subject to reasonable collection costs, including attorneys' fees.

Term and Termination

This Agreement commences on and, unless earlier terminated as provided herein, shall continue until .

Either Party may terminate this Agreement for material breach by the other Party if such breach remains uncured thirty (30) days after receipt of written notice specifying the breach. Termination does not relieve either Party of obligations accrued prior to termination.

Confidentiality

"Confidential Information" means non-public information disclosed by a Party in writing, orally or by inspection that is designated as confidential or that reasonably should be understood to be confidential. Recipient shall not use or disclose Confidential Information except as required to perform the Services. Confidential Information does not include information that: (a) is or becomes generally known through no fault of the Recipient; (b) was rightfully known prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the disclosing Party's Confidential Information.

Indemnification and Liability

Each Party shall indemnify, defend and hold harmless the other Party from third-party claims arising out of its gross negligence or willful misconduct in performing this Agreement. Except for liability arising from wilful misconduct or a breach of confidentiality, neither Party's aggregate liability for claims arising under this Agreement shall exceed the amounts actually paid to Provider under the applicable Statement of Work in the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

This Agreement, together with all Statements of Work, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals or representations, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both Parties.

Miscellaneous Provisions

Notices must be in writing and delivered to the addresses set forth above. If any provision of this Agreement is held unenforceable, the remainder shall remain in full force and effect. Neither Party may assign this Agreement without the prior written consent of the other Party, except to an affiliate or in connection with a merger or sale of substantially all assets.
