WHEREAS

WHEREAS, Client desires to obtain certain business advisory, consulting, or operational services from Service Provider described herein; and

WHEREAS, Service Provider represents that it has the experience, expertise, personnel, and resources necessary to perform the services and agrees to perform such services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the services described below in a professional and workmanlike manner in accordance with industry standards. The deliverables, milestones, and specific tasks are as follows:

PAYMENT TERMS

In consideration for the services, Client shall pay Service Provider in accordance with the schedule set forth below. All payments shall be made in lawful currency of the United States unless otherwise agreed in writing.

Service Provider shall submit invoices to Client in accordance with the payment schedule. Unless otherwise specified, Client shall pay each undisputed invoice within days of receipt. Late payments shall incur interest at the rate specified below.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon prior written notice to the other party delivered at least days in advance. Either party may terminate immediately for material breach by the other party if such breach is not cured within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence and shall not disclose to any third party any Confidential Information disclosed by the other party (the "Disclosing Party") except as required by law. "Confidential Information" shall include non-public business information, trade secrets, financial data, customer lists, technical data, and other information designated as confidential or that reasonably should be understood to be confidential. Confidential Information does not include information that: (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) was rightfully in the Receiving Party's possession prior to disclosure; (iii) is received rightfully from a third party without restriction; or (iv) is independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party may disclose Confidential Information to its employees, contractors, and advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. Upon termination or written request, the Receiving Party shall promptly return or destroy Confidential Information and certify destruction upon request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that exclusive venue for any dispute arising out of or relating to this Agreement shall be the state and federal courts located in the county of the governing state unless the parties mutually agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement, including all schedules and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations, and understandings, whether written or oral. Any amendment or modification of this Agreement shall be effective only if in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets. The parties are independent contractors, and nothing in this Agreement shall be construed to create a partnership, joint venture, or employment relationship. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
