What the Business MRA Document Is and when it applies

The Business MRA Document is commonly used as a Master Reseller Agreement establishing the commercial relationship between a vendor and a reseller. It defines scope of rights, territory, product lists, pricing and payment terms, intellectual property licenses, performance obligations, termination rights, confidentiality, indemnities and dispute resolution. The agreement sets operational rules for channel sales, clarifies responsibilities for support and marketing, and records signatory authority. When completed correctly it becomes an enforceable contract between the parties and can be executed electronically under applicable U.S. e-signature law.

Why a clear Business MRA Document matters for your channel program

A well-drafted Business MRA Document reduces commercial ambiguity, protects intellectual property, allocates risk, and standardizes pricing and payment processes across resellers. It helps avoid disputes, supports compliance with tax and export rules, and provides a single reference for onboarding, renewals, and enforcement.

Why a clear Business MRA Document matters for your channel program

Typical users and teams who prepare or sign a Business MRA Document

The Business MRA Document is prepared and reviewed by cross-functional teams including sales, legal, finance, and channel operations prior to execution.

  • Vendor Sales and Channel Teams — Draft commercial terms, set territory and pricing for partner onboarding.
  • Reseller Management and Operations — Confirm product lists, reporting cadence, and performance metrics.
  • In-house Counsel or External Lawyers — Review indemnities, IP clauses, and dispute resolution language.

After internal approval, authorized signatories from both companies sign; legal and finance retain executed copies for compliance and audit purposes.
