Parties

WHEREAS

WHEREAS, Party A is engaged in the business of providing professional services and products as described herein; and

WHEREAS, Party B desires to obtain such services and products from Party A on the terms and conditions set forth in this Master Relationship Agreement (the "Agreement"); and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows:

Scope of Work

The scope of services and deliverables to be provided under this Agreement shall be described in individual Statements of Work (each, an "SOW") executed by the parties and incorporated herein by reference. Each SOW will identify the services, deliverables, milestones and acceptance criteria.

Payment Terms

Party B shall pay Party A for services rendered in accordance with the applicable SOW. Unless otherwise specified in an SOW, the parties agree to the following default payment terms:

Invoices shall be submitted by Party A and are payable by Party B within days of receipt unless a different period is specified in the applicable SOW.

If any undisputed amount is not paid when due, Party B will pay interest on the overdue amount at the rate specified above (or, if no rate is specified, at 1.5% per month) and shall reimburse Party A for costs of collection, including reasonable attorneys' fees.

Term and Termination

This Agreement shall commence on and, unless earlier terminated as provided herein, shall continue until .

Either party may terminate this Agreement or any SOW for convenience upon written notice delivered at least days prior to the effective date of termination.

Either party may terminate this Agreement or any SOW for material breach if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination.

Confidentiality

"Confidential Information" means non-public information disclosed by a party (Discloser) to the other party (Recipient) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes generally known to the public through no fault of Recipient; (b) was rightfully in Recipient's possession prior to receipt from Discloser; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by Recipient without use of or reference to Discloser's Confidential Information.

Recipient will (i) hold Discloser's Confidential Information in strict confidence, (ii) not disclose it to any third party except as permitted in this Agreement, and (iii) use it only to perform its obligations or exercise its rights under this Agreement. Recipient may disclose Confidential Information to its employees, contractors and advisors who have a legitimate need to know, provided that such persons are bound by confidentiality obligations at least as protective as those in this Agreement.

The obligations of confidentiality shall survive termination of this Agreement for a period of years from the date of disclosure, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages. Each party's aggregate liability for claims arising out of or relating to this Agreement shall be limited to the amounts actually paid by Party B to Party A under the applicable SOW in the twelve (12) months preceding the claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes arising under this Agreement through negotiation. If negotiation fails, the parties agree that disputes shall be resolved by binding arbitration or in the exclusive courts of the state specified above as elected in the SOW; parties may specify forum selection in an SOW where required.

Entire Agreement; Amendments

This Agreement, together with all executed SOWs, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth above or to such other address as either party may specify by notice in accordance with this section. Notices are effective upon personal delivery, confirmed electronic delivery, or three (3) days after deposit with a nationally recognized overnight carrier.
