BUSINESS MRF DOCUMENT

Parties

This Business MRF Document (the "Agreement") is made effective as of by and between:

WHEREAS

WHEREAS, Service Provider is engaged in the operation and management of a materials recovery facility and related processing services for recyclable and recovered materials ("MRF Services"); and

WHEREAS, Client generates, collects, or otherwise controls recyclable materials and desires that Service Provider accept, process, and manage such materials in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope of MRF Services, pricing, terms of delivery, liability allocation, confidentiality, and other material provisions governing their relationship.

Scope of Work

Service Provider will provide the following MRF Services to Client in accordance with industry standards and applicable law:

Payment Terms

Client shall pay Service Provider for MRF Services as follows:

All fees are exclusive of taxes. Client shall reimburse Service Provider for reasonable costs of handling, special disposal, contamination penalties, or regulatory compliance directly attributable to Client's delivered materials.

Term and Termination

Term: This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure within thirty (30) days after receipt of written notice specifying the breach.

Delivery, Acceptance and Contamination

Client shall deliver materials to the Service Provider's designated facility at Client's expense unless otherwise agreed. Service Provider may reject or assess additional charges for materials with contamination or nonconforming composition. Acceptance of material does not waive Service Provider's right to later identify contamination and seek remediation or additional compensation.

Confidentiality

Each party shall treat as confidential all nonpublic business, technical and financial information disclosed by the other party in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available through no breach of this Agreement, or that is independently developed by the receiving party without use of the disclosing party's Confidential Information. A receiving party shall not disclose Confidential Information to third parties except to its employees, agents, contractors, or professional advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. This obligation shall survive termination of this Agreement for a period of three (3) years.

Indemnification and Insurance

Client shall indemnify, defend and hold harmless Service Provider, its affiliates and their respective officers, directors and employees from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Client's breach, negligence, willful misconduct, or the hazardous condition of materials supplied by Client. Service Provider shall maintain commercially reasonable general liability and environmental liability insurance as applicable to its operations. Certificates of insurance shall be made available upon reasonable request.

Compliance with Law

Each party shall comply with all federal, state, and local laws, rules and regulations applicable to its performance under this Agreement, including laws governing handling, transportation, storage and disposal of recyclable, hazardous, or regulated materials. Client shall promptly notify Service Provider of any material regulatory notice or investigation relating to materials delivered under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement

This Agreement, including any attachments or written statements of work executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, communications and understandings, whether written or oral. No amendment to this Agreement is effective unless in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above (or such other address as either party designates in writing) by certified mail, express courier, or overnight delivery service, and shall be effective upon receipt.

Miscellaneous

If any provision of this Agreement is determined to be invalid, illegal or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. No waiver of any provision shall be effective unless in writing and signed by the waiving party.

The parties acknowledge and agree that time is of the essence with respect to performance of obligations under this Agreement where indicated.
