What the Business MS Letter Is and When It’s Used

A Business MS Letter is a formal, signed communication used by a company to record a material statement, confirmation, or instruction that affects business operations or legal relationships. Typical uses include vendor acknowledgements, corporate attestations, authorization of transactions, certification of facts for third parties, or responses required by regulators or counterparties. The letter should state the parties, the factual or contractual basis for the statement, the effective date, and the authorized signer’s role. When signed and retained correctly it serves as an auditable corporate record suitable for internal controls and external review.

Why a Clear Business MS Letter Matters

A precise Business MS Letter reduces ambiguity, documents corporate intent, and creates a reproducible record that supports compliance, auditability, and enforcement. Clear structure and accurate signer authority help prevent disputes and administrative rework while preserving legal evidence of consent or acknowledgement under U.S. e-signature laws.
