BUSINESS MSA CONTRACT

This Master Services Agreement ("Agreement") is made and entered into as of Effective Date: by and between:

Parties

WHEREAS

WHEREAS, Party A provides services, consulting, deliverables, or products in the ordinary course of its business and has expertise relevant to the Scope of Work described below; and

WHEREAS, Party B desires to retain Party A to perform certain services under the terms and conditions set forth in this Agreement, and Party A is willing to perform such services for Party B subject to this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Scope of Work

Party A shall perform the services, provide deliverables, and meet milestones as set forth in the project description below. Party A will perform such services in a professional and workmanlike manner consistent with industry standards.

Payment Terms

In consideration for the services rendered by Party A, Party B shall pay the fees described below in accordance with the schedule and conditions set forth in this section.

All fees are payable in United States dollars unless otherwise agreed in writing. Party B shall reimburse Party A for reasonable, preapproved out-of-pocket expenses incurred in connection with performance of services.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing Notice Period: days' prior written notice to the other party.

Either party may terminate for cause upon the other party's material breach if such breach remains uncured after Cure Period: days following written notice specifying the breach.

Confidentiality

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall not use Confidential Information except to perform its obligations under this Agreement and shall not disclose Confidential Information to any third party except to its employees, contractors, or professional advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Confidentiality obligations shall survive termination or expiration of this Agreement for Confidentiality Period: years, except with respect to trade secrets, for which protection shall continue for so long as the information qualifies as a trade secret under applicable law.

Intellectual Property and Work Product

Unless otherwise agreed in writing, Party A shall retain ownership of its pre-existing intellectual property and tools. Subject to payment in full, Party A hereby assigns to Party B all right, title and interest in and to deliverables created specifically for Party B under this Agreement, excluding Party A's underlying methodologies, tools, and know-how.

Representations, Warranties and Disclaimers

Each party represents and warrants that it has the full corporate power and authority to enter into this Agreement. Party A warrants that services will be performed in a professional manner in accordance with generally accepted industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND EACH PARTY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. Except for liability arising from willful misconduct, personal injury, or breach of confidentiality, each party's aggregate liability to the other for direct damages shall not exceed the total fees paid or payable to Party A under the applicable Statement of Work during the preceding twelve (12) months.

Change Orders

Any change to the Scope of Work, schedule, or fees must be documented in a written change order signed by authorized representatives of both parties. Change orders shall describe the change, the adjustment to cost and schedule, and any other material impacts.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with all Statements of Work and change orders executed under it, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party shall assign this Agreement without the prior written consent of the other party, except that a party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.
