BUSINESS MASTER SERVICES AGREEMENT

RECITALS

This Master Services Agreement (the "Agreement") is entered into as of between Client Name: and Service Provider Name: .

WHEREAS, Client desires to engage Provider to perform professional services as set forth in one or more Statements of Work executed pursuant to this Agreement; and

WHEREAS, Provider has represented that it has the personnel, expertise and resources to perform such services under the terms and conditions set forth herein.

SCOPE OF WORK

Each Statement of Work shall describe the services to be performed, deliverables, schedule, acceptance criteria and any project-specific terms. In the event of a conflict between a Statement of Work and this Agreement, the Statement of Work shall govern solely to the extent of such conflict.

PAYMENT TERMS

Fees: Client shall pay Provider the fees set forth in the applicable Statement of Work. Unless otherwise stated in a Statement of Work, the agreed fee for the initial engagement is (USD).

Invoices are due net days from receipt. Late payments shall accrue interest at or the highest rate permitted by law, whichever is lower. Client shall reimburse Provider for reasonable, pre-approved expenses incurred in connection with the Services.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon providing days' prior written notice. Either party may terminate for material breach if such breach remains uncured for thirty (30) days after written notice specifying the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information excludes information that is (i) publicly known through no breach by the receiving party; (ii) rightfully received from a third party without restriction; (iii) independently developed by the receiving party without use of the disclosing party's Confidential Information; or (iv) required to be disclosed by law, provided the disclosing party is given prompt notice and an opportunity to seek protective measures.

Obligations: The receiving party shall maintain the confidentiality of Confidential Information using at least the same degree of care it uses to protect its own similar information, but no less than reasonable care, and shall not use Confidential Information except to perform under this Agreement. These obligations shall survive termination for a period of .

INTELLECTUAL PROPERTY

Unless otherwise agreed in a Statement of Work, Provider retains ownership of pre-existing intellectual property and tools used or developed independently of the Services. Subject to Client's payment of all fees due, Provider assigns to Client all right, title and interest in deliverables specifically commissioned under a Statement of Work, excluding Provider's tools, templates, methodologies and general skills, knowledge or know-how.

WARRANTIES; INDEMNIFICATION; LIMITATION OF LIABILITY

Provider warrants that the Services will be performed in a professional manner consistent with industry standards. THE FOREGOING IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. Each party shall indemnify and hold harmless the other from third-party claims arising from its breach of this Agreement or negligence. EXCEPT FOR LIABILITY ARISING FROM A BREACH OF CONFIDENTIALITY, WILLFUL MISCONDUCT OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY'S AGGREGATE LIABILITY SHALL EXCEED THE AMOUNTS PAID OR PAYABLE BY CLIENT TO PROVIDER UNDER THE APPLICABLE STATEMENT OF WORK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law provisions. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to a successor in interest in connection with a merger or sale of substantially all assets.

Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, provided the affected party gives prompt written notice and uses commercially reasonable efforts to resume performance.

Severability: If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

This Agreement, together with any executed Statements of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.
