WHEREAS, Client desires to retain Contractor to perform certain professional services in accordance with the terms set forth in this Agreement; and

WHEREAS, Contractor represents that it has the personnel, expertise and resources necessary to perform the services described herein and agrees to provide such services under the terms and conditions of this Agreement.

WHEREAS, the parties intend that this Agreement set forth the complete and exclusive statement of their agreement.

Scope of Work

Contractor shall perform the services described above in a timely, professional and workmanlike manner consistent with industry standards. Any material change to the scope shall be documented in a written change order signed by both parties.

Payment Terms

Invoices shall be due within the period specified in the payment schedule. Unpaid amounts after the due date shall accrue the late payment fee set forth above, and Contractor may suspend performance if amounts remain unpaid thirty (30) days after written notice of nonpayment.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above following written notice. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party (the "Recipient") shall keep confidential and shall not disclose to any third party any non-public information marked or reasonably understood to be confidential (the "Confidential Information") of the other party (the "Discloser"). The Recipient shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care.

Confidential Information does not include information that: (a) is or becomes generally available to the public other than by a breach of this Agreement; (b) was already in the Recipient's lawful possession prior to receipt from the Discloser; (c) is independently developed by the Recipient without use of or reference to the Discloser's Confidential Information; or (d) is received from a third party free to disclose such information without restriction. The Recipient may disclose Confidential Information when required by law, provided it gives the Discloser prompt written notice and cooperates in any protective measures.

Representations and Warranties

Each party represents that it has the full corporate power and authority to enter into and perform its obligations under this Agreement, and that performance will not violate any agreement to which it is a party. Contractor warrants that services will be performed in a competent and professional manner consistent with prevailing industry standards for a period of thirty (30) days following delivery of such services.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation and, if necessary, mediation prior to pursuing litigation.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from the indemnifying party's negligence or willful misconduct in connection with this Agreement. Except for liability arising from gross negligence, willful misconduct, or a party's breach of confidentiality or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages, and each party's aggregate liability for any claim arising under this Agreement shall not exceed the total amount paid to Contractor under this Agreement in the twelve (12) months preceding the claim.

Miscellaneous

Amendment: This Agreement may be amended only by a written instrument signed by both parties. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.

Entire Agreement

This Agreement, together with any written change orders or attachments signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written.
