This Business MTC Document (the "Agreement") is entered into effective as of by and between:

Recitals

WHEREAS, Client Name: seeks to engage Contractor Name: to provide management, technology and change (MTC) services in accordance with the terms and conditions set forth herein; and

WHEREAS, Contractor represents that it has the experience, personnel and capability to perform the services described in this Agreement and is willing to do so on the terms established below.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Scope of Work

Contractor will perform the services described below. The description constitutes the primary scope of work and may be supplemented by written change orders executed by both parties.

Payment Terms

Client shall pay Contractor the fees and expenses set forth below in consideration for the services rendered. All fees are payable in United States dollars unless otherwise agreed in writing.

All payments shall be made upon receipt of a proper invoice. Client may withhold payment for disputed items pending prompt resolution. Late payments shall accrue interest at the rate specified above and Contractor may suspend performance if invoices remain overdue after written notice and the expiration of the cure period set forth in the Term and Termination section.

Term and Termination

This Agreement commences on Start Date and continues until the earlier of project completion or the End Date, subject to termination as set forth herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above after receipt of written notice. Client may terminate for convenience upon providing the notice required above and paying Contractor for all work performed and non-cancellable commitments incurred through the effective date of termination.

Confidentiality

"Confidential Information" means all non-public information disclosed by a disclosing party to the receiving party in connection with this Agreement. The receiving party shall (a) hold Confidential Information in strict confidence; (b) use it only to perform its obligations under this Agreement; and (c) not disclose it to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, was rightfully in the receiving party's possession prior to disclosure, or is independently developed without use of the disclosing party's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of laws principles.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses specified below by hand, certified mail, or commercial overnight courier, and shall be effective upon receipt.

Entire Agreement

This Agreement, together with any executed statements of work and change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment of this Agreement must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any right or remedy under this Agreement shall not be deemed a waiver of such right or remedy.
