BUSINESS MTR DOCUMENT

This Business MTR Document (the "Agreement") is entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Client desires that Provider perform certain management, tracking and reporting services in furtherance of Client's business operations, specifically the Monthly Tracking & Reporting activities described herein (the "Services"); and

WHEREAS, Provider represents that it has the skill, personnel and resources to perform the Services in a professional manner and agrees to perform the Services pursuant to the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms under which Provider will undertake the Services and Client will compensate Provider.

SCOPE OF WORK

Provider shall perform the Services described below in a timely and professional manner consistent with industry standards. The parties acknowledge that the description below constitutes the essential duties to be performed by Provider under this Agreement.

PAYMENT TERMS

As full compensation for the Services, Client shall pay Provider the amounts and according to the schedule set forth below. All amounts are payable in lawful currency of the United States unless otherwise agreed in writing.

Unless otherwise set forth in writing, Provider may suspend performance if Client fails to pay any undisputed invoiced amount within days after written notice. Client is responsible for all reasonable collection costs for past due balances.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means nonpublic business, technical and financial information disclosed by either party to the other that is designated as confidential or that, under the circumstances of disclosure, ought reasonably to be treated as confidential. Confidential Information does not include information that is (a) publicly available other than through a breach of this Agreement, (b) already known to the receiving party without obligation of confidentiality, or (c) rightfully received from a third party without restriction.

The receiving party shall (i) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, (ii) not use Confidential Information except to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of years, except to the extent a longer period is required by applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Each party consents to the exclusive jurisdiction and venue of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or modification of this Agreement will be binding unless in writing and signed by both parties.

NOTICES

Notices under this Agreement must be in writing and delivered to the addresses below by hand, nationally recognized overnight courier, or certified mail (return receipt requested). Notices are deemed given when received.

MISCELLANEOUS

Neither party may assign or transfer this Agreement or any rights hereunder without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided that the assignee agrees in writing to be bound by the terms of this Agreement. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
