BUSINESS MY LIFEWAY — GENERAL BUSINESS AGREEMENT

This General Business Agreement ("Agreement") is made and entered into as of Effective Date: by and between Service Provider: Business My Lifeway, with principal address: and Client Name: , Client Address: .

WHEREAS

WHEREAS, Business My Lifeway operates a business providing advisory, operational, and digital services and is duly qualified and willing to provide services to Client on the terms and conditions set forth herein.

WHEREAS, Client desires to engage Business My Lifeway to perform the services described in this Agreement and Business My Lifeway is willing to perform such services in accordance with the terms, scope and compensation set forth below.

WHEREAS, the Parties intend that this Agreement govern the Parties' relationship, allocation of responsibilities, confidentiality obligations and remedies for breach.

SCOPE OF WORK

Services shall include those tasks, deliverables, milestones and acceptance criteria set forth above and any attachments or statements of work executed by the Parties. Any material change to the scope will be made only by written amendment signed by authorized representatives of both Parties. Business My Lifeway will perform the Services in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

Unless otherwise stated in the Payment Schedule, Client shall pay a Deposit in the amount of , with the balance due as set forth above. All payments are due within days of invoice receipt. Invoices not paid when due shall accrue interest at a rate of , or the maximum allowed by law, and Client shall reimburse Business My Lifeway for reasonable collection costs, including attorneys' fees.

All fees are exclusive of taxes. Client is responsible for any applicable sales, use, value-added, or other taxes, except taxes based on Business My Lifeway's net income.

TERM AND TERMINATION

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Agreement, continues until End Date: .

Either Party may terminate this Agreement for convenience upon written notice to the other Party delivered at least days prior to termination. Either Party may terminate immediately upon written notice for the other Party's material breach if such breach remains uncured for a period of ten (10) days after written notice of the breach.

Upon termination, Client shall pay Business My Lifeway for all Services performed through the effective date of termination and for any non-cancellable obligations incurred on Client's behalf.

CONFIDENTIALITY

"Confidential Information" means any non-public information disclosed by one Party to the other Party, whether oral, written, electronic or in any other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information that: (a) is or becomes publicly available other than through a breach of this Agreement; (b) was rightfully known to the receiving Party prior to disclosure; (c) is received from a third party without breach of an obligation of confidentiality; or (d) is independently developed without use of the disclosing Party's Confidential Information.

The receiving Party shall: (i) preserve and protect the disclosing Party's Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (ii) use Confidential Information solely for the purposes of performing this Agreement; and (iii) not disclose Confidential Information to any third party except to its employees, agents or contractors who have a legitimate need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. These obligations shall survive termination of this Agreement for a period of , provided that trade secrets shall remain protected for as long as they qualify as trade secrets under law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The Parties consent to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any written attachments or statements of work executed by the Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether oral or written. No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS

Neither Party may assign this Agreement without the prior written consent of the other Party, except that Business My Lifeway may assign this Agreement in connection with a merger, sale of substantially all assets, or reorganization. If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect. The Parties acknowledge that monetary damages may be inadequate to remedy certain breaches and that equitable relief, including specific performance and injunctive relief, may be appropriate.
