BUSINESS NAME LOX — GENERAL BUSINESS AGREEMENT

RECITALS

WHEREAS, Client is engaged in the business described in this Agreement and desires to obtain certain services related to Client's business operations from Service Provider; and

WHEREAS, Service Provider has represented that it possesses the expertise, personnel, and resources necessary to perform the services described herein and agrees to perform such services for Client under the terms and conditions set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the services described below in a professional and workmanlike manner consistent with industry standards. The scope of work shall include the deliverables, milestones, and specifications set forth here:

PAYMENT TERMS

As full compensation for the Services, Client shall pay Service Provider the amounts and according to the schedule specified below. All fees are exclusive of taxes unless otherwise stated.

Invoices are due within days of receipt unless otherwise agreed in writing. Late payments shall accrue interest at a rate of per month (or the maximum rate allowed by law, whichever is less), plus reasonable costs of collection, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if such breach remains uncured for thirty (30) days after receipt of written notice describing the breach; provided that breaches of confidentiality or intellectual property obligations may be subject to shorter cure periods where equitable relief is appropriate.

CONFIDENTIALITY

Each party (Receiving Party) shall hold in strict confidence and shall not disclose to any third party any non-public information disclosed by the other party (Disclosing Party) that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (Confidential Information). Confidential Information excludes information that: (a) is or becomes generally available to the public through no act or omission of the Receiving Party; (b) was rightfully known to the Receiving Party prior to disclosure; (c) is received from a third party without breach of a confidentiality obligation; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party shall use Confidential Information solely to perform its obligations under this Agreement and shall take reasonable measures, at least as protective as those it uses to protect its own confidential information, to prevent unauthorized disclosure. In the event of an unauthorized disclosure, the Receiving Party shall promptly notify the Disclosing Party and cooperate in mitigation. The parties acknowledge that monetary damages may be inadequate and that the Disclosing Party may seek injunctive relief in addition to other remedies.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties shall attempt in good faith to resolve any dispute arising under this Agreement by negotiation. If negotiation fails, the parties agree that disputes will be resolved by binding arbitration conducted in the county where the Disclosing Party's principal place of business is located, unless otherwise agreed in writing.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, including all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification or amendment to this Agreement must be in writing and signed by both parties. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or similar transaction.

The parties acknowledge that each party is an independent contractor and nothing in this Agreement will be construed to create a partnership, joint venture, agency, or employment relationship between them.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by written notice to the other.
