This Business Name Agreement (the Agreement) is entered into as of by and between:

WHEREAS

SCOPE OF WORK / RIGHTS GRANTED

Owner hereby grants Recipient the following rights and undertakings relating to the Business Name. The scope below describes the permitted uses, geographic limitations, and any exclusivity:

PAYMENT TERMS

Payments due under this Agreement shall be made in lawful currency of the United States to the payee designated in writing. All amounts are exclusive of applicable taxes unless otherwise stated.

Either party may terminate this Agreement upon material breach by the other party if such breach remains uncured for the notice period specified above following written notice. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive Confidential Information of the other party. "Confidential Information" includes business plans, customer lists, pricing, registration materials, and other proprietary information disclosed in any form. Each party shall:

(a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, agents, or professional advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. The confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall be protected for as long as they qualify as trade secrets.

REPRESENTATIONS AND WARRANTIES

Owner represents and warrants that: (i) Owner has full authority and legal right to grant the rights set forth in this Agreement; (ii) to Owner's knowledge, the Business Name does not infringe any third-party trademark or other intellectual property rights; and (iii) there are no outstanding encumbrances or agreements that would materially impair Owner's ability to perform under this Agreement.

Recipient represents and warrants that it will not use the Business Name in a manner that would dilute or tarnish the goodwill associated therewith and that it will comply with applicable laws and registration requirements when using or registering the Business Name.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Recipient may assign to an affiliate upon notice to Owner.
