RECITALS

WHEREAS, Service Provider maintains business listing and local data management services and is willing to provide such services to Client Business Name for the purpose of publishing and maintaining accurate business name, address and phone number information (NAP) across directories and listings; and

WHEREAS, Client Business Name represents that the information provided herein is true, complete and accurate and authorizes Service Provider to use such information to create, modify and manage public business listings on Client's behalf;

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and other terms governing Service Provider's management of Client's NAP data.

SCOPE OF WORK

The Service Provider will receive, verify, publish and manage Client's Name, Address and Phone number information across agreed listing services and directories. Services include submission of NAP data, request of corrections, weekly status reporting, and verification of published entries for accuracy. The Service Provider will act only with Client authorization and will not materially change legal business name without express written instruction.

Either party may terminate this Agreement for convenience with prior written notice of days. Termination for material breach shall be effective immediately upon notice where the breaching party fails to cure within 15 days of receipt of written notice identifying the breach.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any non-public information received from the other party in connection with this Agreement, including but not limited to unpublished listing credentials, internal reporting, commercial terms and client lists. Confidential information does not include information that (i) is or becomes public other than through breach of this Agreement, (ii) is independently developed by the recipient without use of confidential information, or (iii) is rightfully obtained from a third party without restriction.

The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any schedules and written change orders executed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous communications, proposals, warranties or agreements, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
