Parties

Recitals

WHEREAS, Party A () is engaged in the business of providing certain commercial services and/or referrals; and

WHEREAS, Party B () has complementary capabilities and the Parties desire to establish a Non-Binding Collaboration and Referral arrangement on the terms set forth in this Business NBCR Form (the "Agreement").

WHEREAS, except as explicitly set forth in a subsequent binding written agreement, the Parties acknowledge that this Agreement is non-binding with respect to the creation of any joint venture or exclusive obligations, and is intended to govern the process, confidentiality and referral fee mechanisms described herein.

Payment Terms

Compensation: Party B shall pay Party A the amount of USD for the services/referrals described above.

Invoices are due within days of receipt. Late payments shall incur a late fee of per month on the outstanding balance, or the maximum permitted by applicable law, whichever is lower.

All payments shall be made in United States Dollars unless otherwise agreed in writing. Unless expressly stated, payment obligations are not contingent on the execution of any additional agreement.

Either Party may terminate this Agreement for convenience upon giving the other Party prior written notice. Either Party may terminate immediately for cause upon written notice if the other Party materially breaches this Agreement and fails to cure such breach within after receipt of notice.

Confidentiality

Each Party acknowledges that in the course of performance it may receive Confidential Information of the other Party. "Confidential Information" means non-public information disclosed in any form that is marked confidential or would reasonably be understood to be confidential.

Each Party shall: (a) maintain the other's Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information only for the purposes of performing under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

The obligations in this section shall survive termination of this Agreement for a period of years, except for trade secrets which shall remain protected for as long as such information qualifies as a trade secret under applicable law.

Non-Binding Nature; Referral Fee Mechanism

The Parties acknowledge that, except for the obligations expressly identified as binding (such as payment, confidentiality and governing law), this Agreement is non-binding and does not create an exclusive relationship nor compel either Party to enter into further agreements.

Referral fees are payable within following receipt of cleared funds from the referred client. All referral calculations must be accompanied by reasonable supporting documentation.

Governing Law; Remedies

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The Parties agree that injunctive relief is an appropriate remedy for breaches of confidentiality or misuse of proprietary information, in addition to any other remedies available at law or in equity.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a Party may designate in writing. Notices shall be deemed given when delivered personally, sent by certified mail, or sent by nationally recognized overnight courier.

Entire Agreement; Amendment

This Agreement, together with any exhibits or attachments expressly incorporated, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior communications and proposals, whether oral or written. Any amendment or waiver of this Agreement must be in a written document signed by both Parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither Party may assign its rights or obligations under this Agreement without the prior written consent of the other Party, except to an affiliate or in connection with a merger, acquisition or sale of substantially all assets.

Execution

The Parties may execute this Agreement in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Facsimile or electronically transmitted signatures shall be binding.
