This Business NDF Form (Non-Disclosure and Non-Use Agreement) is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client engages Provider to perform certain business services and desires to disclose certain confidential and proprietary information to Provider for the limited purpose of evaluating and performing those services; and

WHEREAS, Provider acknowledges that such information is confidential, that unauthorized use or disclosure would cause material harm to Client, and that Provider will protect such information using at least the same degree of care it uses to protect its own confidential information; and

WHEREAS, the parties wish to set forth the terms and conditions under which confidential information will be handled and certain business services will be provided.

SCOPE OF WORK

PAYMENT TERMS

Late Payment Fee: If any undisputed amount due under this Agreement is not paid within days after the due date, interest shall accrue at the rate of percent per month (or the maximum permitted by law, if lower). Provider shall provide an invoice for all amounts due and Client shall pay undisputed invoices in accordance with the Payment Schedule.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and shall continue through End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party that is not cured within thirty (30) days after written notice of such breach.

CONFIDENTIALITY

Definition: "Confidential Information" means any non-public information disclosed by a Disclosing Party to a Receiving Party, whether in oral, written, graphic, electronic or other form, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, customer lists, pricing, technical data, trade secrets, and proprietary software.

Obligations: The Receiving Party shall (a) use Confidential Information solely for the performance of its obligations under this Agreement; (b) restrict disclosure of Confidential Information to its employees, contractors and agents with a need to know who are bound by confidentiality obligations at least as protective as those herein; and (c) protect Confidential Information using no less than a reasonable degree of care, but in no event less than the care it uses to protect its own confidential information.

Exceptions: Confidential Information shall not include information that (i) is or becomes generally available to the public other than by breach of this Agreement; (ii) was rightfully in the Receiving Party's possession prior to receipt from the Disclosing Party; (iii) is rightfully obtained by the Receiving Party from a third party without restriction; or (iv) is independently developed by the Receiving Party without use of or reference to Confidential Information.

Compelled Disclosure: If the Receiving Party is required by law or valid process to disclose Confidential Information, it shall provide the Disclosing Party prompt written notice to permit the Disclosing Party to seek protective measures. The Receiving Party shall disclose only that portion of Confidential Information legally required and shall use reasonable efforts to obtain confidential treatment.

Duration: The obligations with respect to Confidential Information shall survive termination of this Agreement for a period of three (3) years from the date of disclosure, provided that trade secrets and information the Disclosing Party designates as proprietary shall be protected for as long as such information qualifies as a trade secret under applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties agree that exclusive jurisdiction and venue for any action arising under this Agreement shall be in the state or federal courts located in that State.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements, understandings and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign or transfer this Agreement without the prior written consent of the other party, except that either party may assign to a successor in interest in connection with a merger, acquisition, or sale of all or substantially all of its assets.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
