Parties and Effective Date

This General Business Agreement (the "Agreement") is entered into as of (the "Effective Date") by and between:

Recitals

WHEREAS, Client desires to procure certain services described herein and Service Provider has the expertise, personnel and resources to perform such services under the terms and conditions set forth in this Agreement.

WHEREAS, the parties wish to set forth the scope of services, compensation, confidentiality obligations, and the respective rights and remedies of the parties.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and adequacy of which are acknowledged, the parties agree as follows:

Scope of Work

Service Provider shall perform the services described below (the "Services"). The Services shall be performed in a professional and workmanlike manner consistent with industry standards.

Payment Terms

In consideration for the Services, Client shall pay Service Provider the fees and expenses set forth below. All amounts are payable in United States dollars unless otherwise agreed in writing.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated as provided herein.

Either party may terminate this Agreement for cause if the other party materially breaches this Agreement and fails to cure such breach within the notice period set forth above. Termination shall not relieve Client of its obligation to pay for Services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and not disclose to any third party any non-public information disclosed by the other party (the "Disclosing Party") that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information includes business plans, financial information, technical data, product designs, trade secrets, customer lists and contractual terms.

The Receiving Party may disclose Confidential Information to the extent required by law, provided that the Receiving Party gives prompt written notice to the Disclosing Party and cooperates in seeking protective treatment. Upon termination or expiration of this Agreement, the Receiving Party shall return or destroy Confidential Information as directed by the Disclosing Party.

Both parties agree that confidentiality obligations are mutual and apply to Confidential Information disclosed by either party.

Representations, Warranties and Indemnification

Each party represents and warrants that it has the right and authority to enter into this Agreement. Service Provider warrants that Services will be provided in a professional manner consistent with industry standards. Each party shall indemnify and hold harmless the other from third-party claims arising out of its breach of this Agreement, negligence or willful misconduct.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state identified below without regard to conflicts of law principles. The parties agree to attempt in good faith to resolve disputes through negotiation prior to initiating arbitration or litigation.

Miscellaneous

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except to a successor in interest by merger or sale of substantially all assets.

Amendment: This Agreement may be amended only by a written instrument signed by both parties. Waiver of any breach shall not be deemed a waiver of subsequent breaches.

Entire Agreement

This Agreement, including all exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below by personal delivery, certified mail, or recognized overnight courier and shall be deemed given upon receipt.
