This Business NHRG Document (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Client Name: desires to retain Service Provider to perform certain business services and enter into NHRG obligations as set forth below;

WHEREAS, Service Provider Name: represents that it has the requisite expertise, personnel and capacity to perform such services on the terms and conditions set forth in this Agreement;

WHEREAS, the parties desire to set forth the scope, payment, confidentiality and other standard commercial terms applicable to the engagement.

SCOPE OF WORK

The scope described above shall include deliverables, milestones and acceptance criteria as mutually agreed in writing. Any material change to scope shall require a written change order signed by authorized representatives of both parties.

PAYMENT TERMS

All invoiced amounts shall be due in accordance with the Payment Schedule. Late payments shall accrue the Late Payment Fee specified above, and the prevailing party may suspend performance until past due amounts are paid in full.

TERM AND TERMINATION

This Agreement commences on the Term Start Date: and continues until the Term End Date: unless earlier terminated as provided in this Agreement.

Either party may terminate this Agreement for material breach by the other party that remains uncured thirty (30) days following written notice specifying the breach; termination for convenience requires the Notice Period above.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") that is identified as confidential or that by its nature should reasonably be considered confidential ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was known by the Receiving Party without restriction prior to disclosure by the Disclosing Party; (c) is rightfully obtained from a third party without restriction; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party shall: (i) use the Confidential Information only to perform its obligations under this Agreement; (ii) restrict disclosure to employees, contractors and advisors having a need to know and under written obligations of confidentiality at least as protective as this Agreement; and (iii) exercise at least the same degree of care to protect Confidential Information as it uses with its own confidential information, but in no event less than reasonable care.

Notwithstanding the foregoing, either party may disclose Confidential Information to the extent compelled by law or court order, provided that the Disclosing Party is given prompt written notice and the opportunity to seek protective measures.

NHRG OBLIGATIONS

The parties acknowledge that this Agreement includes NHRG obligations intended to govern recruitment and related governance activities. During the Term and for a period of twelve (12) months following termination, neither party shall directly solicit for hire, employ, or induce to leave employment any employee or contractor of the other party with whom they had material contact under this Agreement, except with the prior written consent of the other party. Any permitted hire shall not release the hiring party from any continuing confidentiality or non-disclosure obligations.

NOTICES

Notices shall be in writing and delivered by hand, nationally recognized overnight courier, or certified mail to the addresses provided above and shall be effective upon receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with all exhibits and any written change orders executed by authorized representatives of the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, representations, and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Remedies provided herein are cumulative and in addition to any other remedies available at law or equity.
