BUSINESS NNP TEMPLATE

Parties

This Agreement is entered into effective as of (Effective Date) by and between:

Recitals

WHEREAS, Client desires to engage Service Provider to perform certain business services on the terms set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the expertise, personnel and resources to perform the services described in this Agreement and is willing to perform such services subject to the terms and conditions herein; and

WHEREAS, the parties desire to set forth their rights and obligations with respect to the services and related business arrangements.

Scope of Work

Service Provider will perform and deliver the services described below in a professional manner in accordance with industry standards. The Scope of Work includes deliverables, milestones and acceptance criteria as set forth herein.

Payment Terms

In consideration for the performance of the Scope of Work, Client shall pay Service Provider the fees and expenses specified in this section. Fees are exclusive of taxes, which shall be the responsibility of the party required by law to pay such taxes.

All invoices are due as provided in the Payment Schedule. If payment is not received within the specified due period, Client shall pay interest and/or late fees as set forth in the Late Payment Fee field above, and Service Provider may suspend performance after providing the notice required in the Termination section.

Term and Termination

This Agreement commences on and shall continue in effect until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach that remains uncured for ten (10) days after receipt of written notice specifying the breach. Termination does not relieve Client of its obligation to pay for services performed and expenses incurred prior to the effective date of termination.

Confidentiality

Each party (Receiving Party) shall keep confidential and shall not disclose to any third party Confidential Information of the other party (Disclosing Party) except as expressly permitted in this Agreement. "Confidential Information" includes non-public business information, trade secrets, financial data, client lists, proposals, technical information and other information that by its nature should reasonably be understood to be confidential.

Receiving Party shall use Confidential Information solely to perform its obligations under this Agreement and shall take reasonable measures to protect such Confidential Information from unauthorized use or disclosure, not less than those measures it uses to protect its own confidential information of similar importance. Confidential Information shall not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was already known to Receiving Party without restriction prior to disclosure; (c) is rightfully obtained from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's Confidential Information.

Representations; Indemnity

Each party represents that it has authority to enter into this Agreement and that performance will not violate any agreement with a third party. Service Provider will perform services in a professional manner and will comply with applicable laws. Service Provider shall indemnify and hold harmless Client from claims arising out of Service Provider's gross negligence or willful misconduct. Client shall indemnify and hold harmless Service Provider for claims arising from Client-provided materials or Client's breach of this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict of law principles. The parties agree to negotiate in good faith to resolve disputes; if unresolved, disputes shall be resolved in the state or federal courts located in the specified jurisdiction.

Entire Agreement; Amendments

This Agreement, including the Scope of Work and payment terms set forth above, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, understandings and agreements. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets. The rights and obligations of the parties that by their nature should survive termination shall survive, including confidentiality, indemnity and payment obligations.
