BUSINESS NO LOSS AGREEMENT

Recitals

WHEREAS, Party A provides services and/or products to Party B in the ordinary course of its business and has agreed to provide specified performance and risk mitigation measures to Party B; and

WHEREAS, the parties desire to set forth an allocation of risk and a certification regarding known losses and agree that Party A shall be responsible for certain losses arising from the performance of the services described below, subject to the terms and limitations of this Agreement; and

WHEREAS, the parties intend this Agreement to define procedures to prevent loss, to allocate responsibility if losses occur, and to require prompt notification and remediation of any event that could reasonably lead to loss.

Scope of Work

The parties agree that the services, deliverables, or activities covered by this Agreement are as described below. Party A shall perform the Scope of Work in a commercially reasonable manner and shall implement reasonable risk mitigation practices to avoid loss.

No Loss Representation and Certification

Party A represents and warrants that, to the best of its knowledge as of the Effective Date, there are no material losses, claims, obligations, or events known to Party A that would reasonably be expected to give rise to a loss for Party B in connection with the Scope of Work. Party A shall promptly notify Party B in writing of any event or circumstance that could reasonably be expected to result in loss.

In consideration for the Scope of Work and the No Loss assurances herein, Party B shall pay Party A as follows:

Term and Termination

This Agreement commences on the date set forth below and continues until the earlier of completion of the Scope of Work or termination as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period set forth above. Termination shall not affect obligations that by their nature survive termination, including confidentiality, indemnity, and payment obligations.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement and shall not use such information except to perform its obligations under this Agreement. Confidential information shall not include information that is publicly known through no breach by the receiving party or that is rightfully obtained from a third party without restriction.

Indemnification and Limitation of Liability

Party A agrees to indemnify, defend and hold harmless Party B from and against losses, damages, liabilities, and reasonable costs (including attorneys' fees) arising from Party A's breach of its representations, gross negligence, willful misconduct, or failure to perform the Scope of Work. Except for indemnification for bodily injury or willful misconduct, neither party's aggregate liability shall exceed the total payments made under this Agreement during the twelve (12) months preceding the event giving rise to liability.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles.

Force Majeure

Neither party shall be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, strikes, or governmental actions. The affected party shall provide prompt written notice and take commercially reasonable steps to resume performance.

Entire Agreement and Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral and written agreements. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

Notices under this Agreement shall be delivered to the addresses set forth above. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
