Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to termination. The Issuer may terminate this NOC immediately upon written notice if the Recipient breaches any material obligation, engages in unlawful activity, or otherwise acts outside the scope set forth in this Agreement.

Confidentiality

The parties acknowledge that, in the performance of this Agreement, either party may disclose Confidential Information. "Confidential Information" means non-public business, technical, financial, reputational, or other information disclosed in connection with this Agreement that is identified as confidential or that a reasonable person would understand to be confidential under the circumstances.

Each party shall (i) use Confidential Information only for the purposes permitted by this Agreement, (ii) take reasonable measures to protect Confidential Information from unauthorized disclosure, and (iii) not disclose Confidential Information to third parties except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations no less protective than those in this Agreement. Confidentiality obligations survive termination for a period of three (3) years unless otherwise required by law.

Representations and Warranties

Each party represents and warrants that it has full corporate or individual power and authority to enter into and perform its obligations under this Agreement and that the execution and delivery of this Agreement have been duly authorized. The Recipient represents that the activities authorized herein will comply with all applicable laws, licenses and permits.

Limitation of Liability

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, special or punitive damages arising out of or related to this Agreement. Each party's aggregate liability under or in connection with this Agreement shall not exceed the amounts actually paid under this Agreement in the twelve (12) months preceding the claim.

Entire Agreement

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, agreements and understandings, whether written or oral. No amendment or waiver of any provision shall be effective unless in writing and signed by both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a party may designate in writing, and shall be deemed given when delivered by hand, confirmed facsimile, electronic mail (with confirmation of receipt), or three (3) days after deposit in certified mail, return receipt requested.
