WHEREAS

PAYMENT TERMS

In consideration for the Services, Client shall pay Service Provider in accordance with the terms below. All fees are exclusive of taxes unless otherwise specified.

Late payments shall accrue interest and administrative fees as provided below.

TERM AND TERMINATION

The term of this Agreement shall commence on the Start Date below and shall continue until the End Date below, unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice. Termination shall be without prejudice to any rights or remedies accrued prior to termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall maintain in strict confidence all non-public, proprietary, or confidential information disclosed by the other party (the "Disclosing Party") in connection with this Agreement. Confidential Information includes business plans, financial information, customer lists, trade secrets, and other information reasonably understood to be confidential.

The Receiving Party shall not disclose Confidential Information to any third party except to its employees, agents, or contractors who need access to perform this Agreement and who are bound by confidentiality obligations at least as protective as those herein. The Receiving Party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to principles of conflict of laws. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located within that state for resolution of disputes.

ENTIRE AGREEMENT

This Agreement, together with any exhibits and written attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or corporate reorganization.
