BUSINESS NOTICE OF INTENT (NOI)

WHEREAS, the parties desire to establish certain preliminary terms and protections governing negotiations, confidentiality, and payment expectations pending execution of a definitive agreement; and

WHEREAS, this Notice of Intent is delivered on and sets forth mutual understandings and good faith obligations as set forth below.

Termination shall not affect any obligations accrued prior to termination, including payment obligations and confidentiality obligations expressly stated as surviving termination.

Confidentiality

The parties acknowledge that in connection with the Transaction each may disclose Confidential Information. "Confidential Information" means non-public business, technical, financial, customer, supplier, pricing, or other information disclosed in any form. Each party agrees to: (i) use Confidential Information solely for purposes of evaluating and negotiating the Transaction; (ii) not disclose Confidential Information to any third party except representatives on a need-to-know basis bound by confidentiality obligations no less protective than those herein; and (iii) take commercially reasonable measures to protect Confidential Information. Confidentiality obligations shall survive termination of this Notice for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets.

Non-Binding Statement

Except for the confidentiality obligations and any expressly stated exclusive negotiation obligations in this Notice, the parties acknowledge that this Notice is a statement of present intentions and is non-binding. Neither party may assert a binding obligation to consummate the Transaction except pursuant to a definitive written agreement executed by authorized representatives of both parties.

Representations and Warranties

Each party represents and warrants to the other that: (a) it has full power and authority to enter into this Notice; (b) execution and delivery of this Notice and performance of its obligations do not and will not violate any law or agreement binding on such party; and (c) the individual signing below is authorized to bind the party.

Notices

All notices or communications required or permitted under this Notice shall be in writing and delivered to the addresses set forth above or to such other address as a party designates in writing. Notice is effective upon personal delivery or three (3) days after deposit in the mail by certified or registered mail, postage prepaid.

Governing Law; Dispute Resolution

This Notice shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. Any dispute arising out of or relating to this Notice shall be resolved by binding arbitration or court process as agreed in any subsequent definitive agreement; absent such agreement, the parties submit to the exclusive jurisdiction of the state and federal courts located in the governing state.

Entire Agreement; Amendments

This Notice contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral, relating to the Transaction, except where a later-executed definitive agreement provides otherwise. This Notice may be amended only by a written instrument signed by both parties.
