What the Business NOM Document Is and Why It Matters

A Business NOM Document is a formal Notice of Meeting used by corporations, LLCs, associations, and other business entities to announce and document shareholder, member, or board meetings. It specifies the meeting date, time, location (or virtual access details), agenda items, quorum and proxy instructions, and any special resolutions to be considered. Properly issued notices protect corporate actions from being challenged, satisfy statutory and bylaw requirements, and preserve voting rights. Electronic delivery and records are legally recognized under the ESIGN Act (15 U.S.C. ch. 96) and UETA where adopted, subject to any corporate-by-law or state-specific exceptions.

Why a Clear Notice Strengthens Corporate Governance

A precise, timely Business NOM Document reduces litigation risk, ensures valid votes, and provides an auditable record of stakeholder communications.

Why a Clear Notice Strengthens Corporate Governance

Who Prepares and Receives a Business NOM Document

Notices may also be sent to auditors, regulators, or other stakeholders depending on the agenda and legal requirements.

  • Board members, officers, and corporate secretaries who must ensure compliance with bylaws and state law.
  • Shareholders or members entitled to vote, who receive notice and exercise voting or proxy rights.
  • Outside counsel and corporate governance teams responsible for drafting and validating notice language and process.

Core Elements to Include in Every Business NOM Document

A well-formed notice contains specific structural elements so recipients can act and records can withstand review.

Meeting Type

State whether the meeting is annual, special, or emergency so recipients know the event's legal basis.

Date and Time

Provide the full date and local start time, including time zone for virtual meetings.

Location or Access

Give the physical address or virtual access instructions and any passcodes or dial-in numbers required.

Agenda Items

List actions to be voted on, reports to be delivered, and any special resolutions in precise language.

Quorum & Voting

State the quorum requirement and voting thresholds (majority, supermajority) as defined in bylaws.

Proxy Instructions

Explain how to appoint a proxy, deadlines for proxy submission, and any required proxy form or signature rules.

Step-by-Step: Issuing a Compliant Notice

Follow these sequential steps to prepare, approve, and distribute a valid Business NOM Document.

  • 01
Confirm Authority: Verify bylaws or operating agreement authorize the meeting and the notice issuer.
  • 02
Draft Notice: Prepare precise agenda, quorum, proxy, and access instructions.
  • 03
Approval: Obtain required officer or board sign-off per internal governance rules.
  • 04
Distribute & Record: Send via approved channels and retain delivery/audit records.

Typical Notice Distribution and Record Flow

A consistent distribution and recordkeeping flow helps demonstrate compliance when votes or actions are later reviewed.

  • Prepare: Assemble notice text, agenda, and any exhibits for distribution.
  • Authorize: Get sign-off from corporate secretary or authorized officer.
  • Send: Distribute by mail, email, e-delivery, or notice platform per governing rules.
  • Archive: Store copies, delivery receipts, and proxy forms in the corporate record.

Proxy Deadline:

Commonly several days before meeting; specify exact cutoff in the notice

Record Date:

Board sets shareholder record date for voting eligibility; announce in advance

Special Meeting Notice:

Shorter notice permitted if bylaws allow; document basis for shorter notice

Common Mistakes When Preparing a Business NOM Document
