Business Nomad Agreement

This Business Nomad Agreement (the "Agreement") is entered into as of by and between Company Name: , with principal address (\"Company\"), and Business Nomad: , with address (\"Nomad\").

Recitals

WHEREAS, Company engages in the business of providing [business services and operations] and requires flexible, remote professional services that may be performed from locations outside Company’s offices; and

WHEREAS, Nomad represents that Nomad has the experience, qualifications and ability to provide such services while operating as a mobile professional, and Company desires to retain Nomad on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

Scope of Work

Payment Terms

As full compensation for the Services, Company shall pay Nomad in accordance with the following terms:

Any undisputed amount not paid when due shall accrue interest at the lesser of or the maximum rate permitted by applicable law. In addition, Company shall reimburse Nomad for reasonable collection costs, including attorneys’ fees.

Term and Termination

Term: This Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement for any reason upon written notice to the other party given not less than days prior to the effective date of termination.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means non-public business, technical or financial information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: The receiving party shall (a) maintain the confidentiality of Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Exclusions and Required Disclosure: Confidential Information does not include information that is (i) already known to the receiving party without obligation of confidentiality; (ii) becomes publicly known through no breach of this Agreement; or (iii) independently developed by the receiving party. If a receiving party is compelled by law to disclose Confidential Information, it shall provide prompt notice to the disclosing party and cooperate to obtain a protective order or other remedy.

Survival: The confidentiality obligations set forth in this section shall survive for a period of three (3) years following termination or expiration of this Agreement, except for trade secrets, which shall be protected for as long as they qualify as trade secrets under applicable law.

Intellectual Property

Work Product: Unless otherwise agreed in writing, all materials, documents, software, and other deliverables specifically created by Nomad for Company under this Agreement (\"Work Product\") shall be deemed \"work made for hire\" and, to the extent ownership does not vest automatically, Nomad hereby assigns and agrees to assign to Company all right, title and interest in such Work Product worldwide. Nomad retains ownership of pre-existing materials and tools and is not required to assign general skills, know-how or methodologies.

Independent Contractor; Taxes

Relationship: The parties acknowledge and agree that Nomad is an independent contractor and not an employee, agent or partner of Company. Nomad is solely responsible for all taxes, withholdings and other statutory obligations arising from compensation paid hereunder and shall indemnify Company for any claims arising from Nomad's failure to satisfy such obligations.

Notices

Governing Law; Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of , without giving effect to conflict of laws principles that would result in the application of the laws of any other jurisdiction.

Disputes: The parties shall attempt in good faith to resolve all disputes arising out of or relating to this Agreement promptly by negotiation between executives who have authority to settle. If unresolved within 30 days, the parties may pursue any remedy available at law or in equity in the courts of the chosen jurisdiction.

Entire Agreement; Amendment

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No amendment or modification shall be effective unless in writing and signed by both parties.

Miscellaneous

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Company may assign this Agreement in connection with a merger, acquisition or sale of substantially all of its assets.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
