BUSINESS NON-CALLING LETTER

Recitals

WHEREAS, First Party provides certain business development, marketing, and client information and maintains confidential lists, contact information, and lead records (collectively, the Confidential Leads); and

WHEREAS, Second Party desires to receive specified services from First Party and, in connection with those services, may be exposed to Confidential Leads; and

WHEREAS, the parties wish to set forth their agreement that Second Party shall not call, solicit, contact, or otherwise attempt to engage the Confidential Leads in direct marketing, sales, or solicitation activities except as expressly permitted in this letter.

Scope of Work

The parties agree that, during the Term, Second Party will perform the services described below under the direction of First Party. The parties further acknowledge that the Scope of Work may identify categories of contacts that are protected from direct calling or solicitation by Second Party.

Non-Calling Obligations

Second Party covenants and agrees that it shall not, directly or indirectly, call, text, email, solicit, or otherwise initiate outreach to any person or entity that is identified in the Confidential Leads or otherwise designated by First Party as restricted, for the purpose of marketing, sales solicitation, or client conversion, for the duration specified in this Agreement except as expressly authorized in writing by First Party.

The parties acknowledge that permitted outreach does not include use of automated dialing, prerecorded messages, or third-party telemarketing services directed at the restricted contacts without prior written consent of First Party.

Payment Terms

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for the notice period specified above following written notice of such breach.

Confidentiality

Each party acknowledges that the Confidential Leads and any non-public business information disclosed in connection with this Agreement constitute Confidential Information. Receiving Party shall (i) maintain Confidential Information in strict confidence, (ii) not disclose Confidential Information to third parties except to employees or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein, and (iii) use Confidential Information solely to perform its obligations under this Agreement.

Upon expiration or termination of this Agreement, Receiving Party shall promptly return or certify destruction of all Confidential Information in its possession and shall not retain copies except as required by law or for ordinary archival backup, in which case the confidentiality obligations shall survive.

Remedies and Enforcement

The parties acknowledge that breach of the non-calling obligations or confidentiality provisions would cause irreparable harm for which monetary damages alone would be inadequate. Accordingly, in addition to any other remedies available, the non-breaching party shall be entitled to seek injunctive relief and specific performance to enforce these provisions, without requirement of posting a bond.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles that would result in application of the laws of any other jurisdiction.

Entire Agreement

This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
