BUSINESS NORMATIVE ANNEX

This Business Normative Annex (the "Annex") is entered into as an integral part of the underlying agreement between the parties identified below and sets forth the normative standards, performance expectations, deliverables, and compliance obligations applicable to the services and deliverables contemplated by that agreement.

WHEREAS

WHEREAS, the parties desire to establish objective normative standards, acceptance criteria, and compliance obligations that will govern the performance of the Service Provider under the Agreement; and

WHEREAS, the parties intend that the requirements set forth in this Annex shall be incorporated into and enforceable under the Agreement and shall control in the event of any conflict between this Annex and any other document except as expressly stated in writing.

WHEREAS, the parties acknowledge that adherence to the normative requirements set forth herein is material to the business relationship and to the acceptance of deliverables.

PARTIES

SCOPE OF WORK

The Service Provider shall perform the services and deliver the work products described below in accordance with the normative standards and acceptance criteria set forth in this Annex.

NORMATIVE STANDARDS AND COMPLIANCE

The Service Provider shall comply with the following normative standards and regulatory requirements in the performance of services and delivery of all deliverables. Compliance with these standards is a condition precedent to acceptance.

DELIVERABLES AND ACCEPTANCE

Deliverables shall be provided in accordance with the schedule below and shall be subject to the Client's acceptance testing against the acceptance criteria specified.

PAYMENT TERMS

The Client shall pay the Service Provider in accordance with the following terms. Payment is conditioned on timely delivery and Client acceptance of deliverables in accordance with this Annex.

TERM AND TERMINATION

This Annex shall commence on the Effective Date and shall continue until the earlier of completion of the services in accordance with the Scope of Work or termination in accordance with this section.

Termination for cause may be effected immediately by the non-breaching party if the breaching party materially fails to cure a breach of any material obligation under this Annex within a period of not more than thirty (30) days following written notice specifying the breach and the required remedy.

CONFIDENTIALITY

The parties acknowledge that Confidential Information disclosed in connection with the Agreement shall be protected. The recipient of Confidential Information shall (i) use the information only for the purposes of performing under the Agreement, (ii) not disclose such information to any third party except to employees, affiliates or subcontractors who have a need to know and who are bound by obligations of confidentiality at least as restrictive as those contained herein, and (iii) take reasonable administrative, technical and physical measures to safeguard the information.

The obligations under this Confidentiality clause shall survive termination of this Annex for a period of years, except with respect to trade secrets which shall be protected for as long as such information qualifies as a trade secret under applicable law.

REMEDIES FOR NON-CONFORMANCE

If any deliverable fails to meet the acceptance criteria or normative standards set forth in this Annex, the Service Provider shall, at its expense, promptly remedy the non-conformance. If the Service Provider fails to cure the non-conformance within a commercially reasonable period, the Client may: (a) reject the deliverable and require correction; (b) engage a third party to correct the deliverable at the Service Provider's expense; or (c) seek an equitable reduction in fees. The foregoing remedies are cumulative and not exclusive.

GOVERNING LAW

This Annex shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Annex, together with the Agreement and any exhibits or schedules expressly incorporated by reference, constitutes the entire agreement and understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, representations, warranties, commitments and communications, whether written or oral, relating to such subject matter. In the event of any conflict between the terms of this Annex and the Agreement, the terms set forth in this Annex shall govern to the extent of such conflict.

MISCELLANEOUS PROVISIONS

Neither party shall assign or delegate its rights or obligations under this Annex without the prior written consent of the other party, which consent shall not be unreasonably withheld. Any attempted assignment in violation of this provision shall be void.
