BUSINESS NOTE

This Business Note (the "Note") is made effective as of by and between:

WHEREAS

WHEREAS, Lender has agreed to extend credit and Borrower desires to borrow funds in the principal amount of (the "Principal") on the terms and conditions set forth in this Note; and

WHEREAS, the parties intend that this Note set forth the terms for repayment, remedies upon default, and related covenants and conditions.

SCOPE OF WORK / PURPOSE

The funds advanced under this Note shall be used by Borrower for the business purpose described below. Borrower represents that use of proceeds will comply with applicable law and the business plan described herein.

TERMS OF THE NOTE

1. Promise to Pay. Borrower promises to pay to the order of Lender the Principal together with interest on the unpaid Principal balance at the rate of per annum, computed on a 365-day year basis.

2. Payment Schedule. Borrower shall make payments as set forth below. Absent written agreement, payments shall be applied first to accrued interest and then to principal.

3. Late Fee. If any scheduled payment is not paid within days after its due date, Borrower shall pay a late fee equal to the greater of or of the overdue installment.

4. Prepayment. Borrower may prepay all or any portion of the Principal at any time without premium or penalty unless otherwise agreed in writing.

DEFAULT AND REMEDIES

5. Events of Default. The occurrence of any of the following shall constitute an Event of Default: (a) Borrower fails to pay any amount when due and such failure continues for days after written notice; (b) Borrower becomes insolvent, files a petition in bankruptcy, or makes an assignment for the benefit of creditors; (c) Borrower breaches a material covenant in this Note and fails to cure within the cure period specified in the notice.

6. Acceleration. Upon an Event of Default, Lender may, at its option, declare the entire unpaid Principal and accrued interest immediately due and payable and pursue all remedies available at law or in equity.

7. Term. The term of this Note commences on the effective date first written above and shall continue until full payment of Principal and accrued interest or until the Maturity Date of unless earlier terminated in accordance with this Note.

8. Termination and Notice. Either party may terminate certain obligations under this Note upon written notice to the other party given at least days prior to the requested termination date, provided that termination does not relieve Borrower of obligations accrued prior to the effective termination.

CONFIDENTIALITY

9. Confidentiality. Except as required by law or court order, each party shall keep confidential the terms of this Note and any non-public business or financial information disclosed in connection with the negotiation or performance of this Note for a period of years following the effective date. The foregoing does not prohibit disclosure to a party's legal or financial advisors who are bound by duties of confidentiality.

GOVERNING LAW; OTHER PROVISIONS

10. Governing Law. This Note shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

11. Entire Agreement. This Note constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. No amendment or waiver of any provision of this Note shall be effective unless in writing signed by both parties.

12. Waiver; Severability. No failure or delay by Lender in exercising any right under this Note will operate as a waiver. If any provision of this Note is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

13. Notices. All notices required or permitted under this Note shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing.

14. Borrower represents and warrants that it has the corporate or organizational power and authority to execute and deliver this Note and to perform its obligations hereunder, and that the execution and delivery of this Note has been duly authorized by all necessary corporate or organizational action.
