BUSINESS NOTICE AND FORM

THIS BUSINESS NOTICE AND GENERAL AGREEMENT (the "Agreement") is made effective as of by and between the parties identified below.

PARTIES

RECITALS

WHEREAS, Provider is engaged in the business of providing professional services and/or goods described herein and possesses the requisite expertise, personnel, and resources to perform such services; and

WHEREAS, Client desires to retain Provider to perform the services set forth in this Agreement on the terms and conditions contained herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

SCOPE OF WORK

Provider shall perform the tasks and deliverables described below. Provider shall perform services in a professional and workmanlike manner in accordance with industry standards.

PAYMENT TERMS

Client shall pay Provider the compensation set forth below in consideration for the services and deliverables provided under this Agreement.

Invoices are due within days of invoice date. Late payments shall accrue interest at a rate of % per month (or the maximum permitted by law), commencing after a grace period of days from invoice due date.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means all nonpublic information disclosed by either party in connection with this Agreement, whether oral, written, or electronic, including business plans, financial data, customer lists, trade secrets, and technical information. Each party agrees: (a) to hold Confidential Information of the other party in strict confidence; (b) not to disclose such Confidential Information to any third party except to employees, agents or contractors with a need to know and who are bound by confidentiality obligations at least as restrictive as those herein; and (c) not to use Confidential Information except to perform its obligations under this Agreement.

Confidential Information does not include information that: (i) is or becomes generally known to the public through no fault of the receiving party; (ii) was rightfully in the receiving party's possession prior to disclosure; (iii) is independently developed by the receiving party without use of Confidential Information; or (iv) is required to be disclosed by law, provided the disclosing party is given prompt written notice to seek a protective order. The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of years.

NOTICES

All notices, requests, consents, claims, demands, waivers and other communications hereunder (each, a "Notice") must be in writing and addressed to the parties at their respective notice addresses set forth above or to such other address that a party may designate in writing. Notices shall be delivered by personal delivery, certified mail (return receipt requested), nationally recognized overnight courier, or email (with confirmation of receipt). Notice is effective upon receipt.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into and perform this Agreement, that the execution and performance of this Agreement will not violate any agreement to which it is a party, and that it will comply with all applicable laws in the performance of its obligations.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties agree that any dispute arising out of or related to this Agreement shall be resolved by the state or federal courts located within that State, and the parties submit to the exclusive jurisdiction and venue of such courts.

MISCELLANEOUS

Entire Agreement: This Agreement, including all exhibits and attachments if any, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.

Amendment; Waiver: No amendment of this Agreement will be effective unless in writing and signed by both parties. No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the waiver is asserted.

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Provider may assign receivables to a financing source without Client consent.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
