BUSINESS NOTICE PACKAGE

RECITALS

WHEREAS, Client requires a set of formal notice templates, delivery procedures, and administrative handling to preserve and enforce contractual and statutory rights in the ordinary conduct of Client's business; and

WHEREAS, Service Provider has experience preparing, customizing, and effecting delivery of formal notices, including notices of default, cure, and termination, and will perform such services under the terms set forth herein; and

WHEREAS, the parties desire to document the scope, delivery standards, payment, and confidentiality obligations applicable to the Business Notice Package services provided by Service Provider.

AGREEMENT

NOW, THEREFORE, in consideration of the mutual promises contained herein and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

SCOPE OF WORK

The Scope of Work includes drafting and delivering the following notice types as requested by Client: (a) Notice of Default/Cure; (b) Notice of Termination; (c) Demand for Performance; and (d) Notice of Intent to Pursue Remedies. Service Provider shall prepare each notice in compliance with the substantive requirements applicable to the subject matter identified by Client and shall maintain contemporaneous records of delivery attempts and responses.

PAYMENT TERMS

Client shall pay all undisputed invoices within days of receipt unless otherwise agreed in writing. Disputed items shall be raised promptly and resolved in good faith. Overdue amounts shall accrue the late fee set forth above, which the parties agree is a reasonable estimate of collection costs and not a penalty.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered no fewer than the number of days specified above. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of ten (10) business days following written notice specifying the breach and requesting cure.

NOTICES; DELIVERY STANDARDS

Preferred Notice Methods: Certified Mail Email Personal Delivery

Notices sent by certified mail or personal delivery shall be deemed delivered upon receipt. Notices sent by email shall be deemed delivered upon transmission provided no automated bounce-back is received and a confirming transmission is available in the sender's records. Service Provider shall maintain a written log of all notice transmissions and attempts.

CONFIDENTIALITY

Each party acknowledges that in the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means information disclosed in any form that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure, including without limitation business plans, client lists, and unpublished notices. Each party agrees: (a) to hold Confidential Information in strict confidence; (b) not to disclose Confidential Information to any third party without prior written consent of the disclosing party except as required by law; and (c) to use Confidential Information solely to perform its obligations under this Agreement. The foregoing shall not apply to information that is or becomes publicly available through no fault of the receiving party, that was already known to the receiving party without restriction prior to disclosure, or that is independently developed by the receiving party without use of Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that state for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a substitute provision that most nearly effects the parties' intent.
