This Business Notices Template (the Agreement) is entered into as of by and between the parties set forth below.

WHEREAS, Party A and Party B desire to set forth an agreed procedure for formal notices, communications, and certain commercial obligations related to their business relationship;

WHEREAS, the parties acknowledge that timely and properly addressed notices are essential to preserve rights, require performance, and effectuate termination or amendment of obligations;

WHEREAS, the parties intend that the terms of this Agreement will govern the form, timing, and delivery methods for notices between them.

Scope of Work

Payment Terms

Compensation for services related to notices and related administrative activities shall be as follows.

Late payments shall incur a late fee calculated as the greater of a percentage of the outstanding balance or a flat fee.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve either party of obligations accrued prior to termination.

Notices

All notices, demands and communications under this Agreement shall be in writing and delivered to the respective addresses set forth above or to such other address as a party may designate by written notice. Notices shall be effective as follows:

  • Personal delivery: upon receipt;
  • U.S. mail (first class, postage prepaid): three (3) business days after deposit;
  • Overnight courier: one (1) business day after deposit; and
  • Email: upon transmission provided the sending party retains confirmation of delivery and a follow-up copy by one of the other permitted methods is mailed within two business days.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. Confidential Information shall mean non-public business, technical, financial, or operational information disclosed in connection with this Agreement. Each receiving party shall: (a) hold such Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information but not less than a reasonable degree of care; (b) not disclose such information to third parties except as expressly permitted; and (c) use such information only for the purposes of performing under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to its conflict of law rules.

Entire Agreement; Amendment; Severability

This Agreement, together with any exhibits or attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. This Agreement may be amended or modified only by a written instrument signed by both parties. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be reformed to the extent necessary to make it enforceable, and the remainder of the Agreement shall remain in full force and effect.

Miscellaneous Provisions

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except to an affiliate or in connection with a merger or sale of substantially all assets, provided the assignee assumes the assigning party's obligations in writing.

Remedies: Except as otherwise provided in this Agreement, the rights and remedies provided herein are cumulative and not exclusive of any rights or remedies provided by law.
