This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with the provisions below.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Immediate termination may occur for material breach that remains uncured for a period of 10 days after written notice of breach, or immediately upon insolvency or assignment for the benefit of creditors.

Confidentiality

Each party acknowledges that confidential or proprietary information may be disclosed in connection with this notification. "Confidential Information" includes nonpublic business, financial, technical, personnel, and operational information disclosed in writing, orally (confirmed in writing), or by inspection of tangible materials. Each party shall (a) use Confidential Information solely for the purposes permitted under this Agreement; (b) hold such information in strict confidence using at least the same degree of care as it uses for its own confidential information but no less than a reasonable standard of care; and (c) not disclose Confidential Information to any third party except to its affiliates, employees, contractors, or advisors who have a legitimate need to know and who are bound by obligations of confidentiality at least as protective as those contained herein.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict-of-law principles. The parties agree that any dispute arising under or relating to this Agreement will first be subject to good-faith negotiation between senior representatives. If unresolved within 30 days, the dispute may be submitted to binding arbitration in accordance with the arbitration rules the parties elect by written agreement.

Entire Agreement

This instrument, together with any attachments and written amendments signed by authorized representatives of both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and understandings, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.
