Business NPE Agreement

This Business NPE Agreement (the Agreement) is made effective as of by and between:

WHEREAS

WHEREAS, Party A is a non-practicing entity that controls certain intellectual property rights and desires to license, monetize, enforce, or otherwise exploit those rights through commercial arrangements; and

WHEREAS, Party B is engaged in business activities that may benefit from a commercial arrangement with Party A, including but not limited to licensing, acquisition of rights, or collaborative enforcement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Party A will provide certain rights, services, or activities to Party B as set forth in this Agreement.

Scope of Work

Party A shall provide the rights, services, and deliverables described below. The parties agree that any performance outside the scope below requires a written amendment signed by authorized representatives.

Payment Terms

In consideration for the rights and services provided under this Agreement, Party B shall pay Party A the fees described below in accordance with the schedules and conditions set forth.

Late payments shall accrue interest at the rate of percent per month (or the maximum permitted by law, if lower), calculated monthly from the date due until paid in full. Party B shall also reimburse Party A for reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement shall commence on and shall continue until unless terminated earlier in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

Either party may terminate immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

Confidentiality

Each party (the Receiving Party) acknowledges that in connection with this Agreement it may receive Confidential Information of the other party (the Disclosing Party). "Confidential Information" means non-public information disclosed in any form that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

The Receiving Party shall: (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Confidentiality obligations shall not apply to information that: (i) is or becomes publicly available without breach of this Agreement; (ii) is rightfully received from a third party without restriction; (iii) was already known to the Receiving Party without restriction; or (iv) is independently developed. The Receiving Party may disclose Confidential Information if required by law or valid order of a court or regulatory body, provided the Receiving Party gives the Disclosing Party prompt written notice and cooperates in any lawful effort to limit disclosure.

Representations; Indemnification; Limitation of Liability

Each party represents that it has the authority to enter into this Agreement and that execution and performance will not violate other agreements or applicable law. Party A represents that, to its knowledge, it has the rights necessary to grant the rights or perform the services described herein.

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claim arising from the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. The indemnified party will provide prompt written notice of any claim and cooperate reasonably with the indemnifying party in the defense.

Except for liability arising from a party's willful misconduct, fraud, or indemnification obligations, neither party shall be liable to the other for special, incidental, consequential, punitive, or exemplary damages, and each party's aggregate liability for claims arising from or related to this Agreement shall be limited to the total fees actually paid by Party B to Party A under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Notices

All notices, demands, or other communications required or permitted hereunder shall be in writing and shall be delivered to the addresses specified above (or such other address as either party may specify in writing) by hand delivery, nationally recognized overnight courier, or certified mail (return receipt requested).

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for the resolution of disputes arising under this Agreement, subject to any mandatory arbitration obligations expressly set forth herein.

Entire Agreement; Amendment

This Agreement, including any exhibits or schedules attached hereto and any written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Severability; Assignment

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets, provided that the assignee agrees in writing to be bound by the terms of this Agreement.
