BUSINESS NPMA FORMS AGREEMENT

This Business NPMA Forms Agreement (the "Agreement") is made effective as of Month Day Year by and between the parties identified below.

WHEREAS

WHEREAS, Client and Service Provider desire to use, exchange, and rely upon certain standardized forms, templates, reports, and related documentation collectively referred to in this Agreement as "NPMA Forms" for business operations, recordkeeping, and commercial transactions between the parties; and

WHEREAS, Service Provider represents that it is authorized to complete and deliver NPMA Forms on behalf of Client in connection with the services described herein and that such completion will be performed in accordance with the requirements set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to allocate responsibilities, payment obligations, confidentiality protections, and risk in connection with the preparation, delivery, retention, and use of NPMA Forms.

Scope of Work

Service Provider shall prepare, complete, deliver and, where applicable, file the NPMA Forms identified in this Agreement in accordance with the specifications and schedule set forth below. Service Provider's obligations include accuracy of entries made on NPMA Forms based on information provided by Client, timely delivery, and record retention as provided in this Agreement.

Payment Terms

Client shall pay Service Provider for services performed under this Agreement in accordance with the following terms.

Late payments shall accrue interest at the lesser of the contractually agreed rate below or the maximum rate permitted by law.

Term and Termination

This Agreement shall commence on Start Date: Month Day Year and shall continue until End Date: Month Day Year unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective date of termination. Either party may terminate for material breach by the other party if such breach is not cured within thirty (30) days after written notice of the breach.

Confidentiality

"Confidential Information" means non-public business, technical, financial, customer, and other information disclosed by one party to the other in connection with this Agreement that is identified as confidential or that reasonably should be understood to be confidential. Each party shall: (a) maintain the confidentiality of Confidential Information of the other party using no less than a reasonable standard of care; (b) not use the Confidential Information for any purpose other than performing obligations under this Agreement; and (c) not disclose Confidential Information to any third party except as permitted by this Agreement or required by law.

The confidentiality obligations shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

Indemnification

Each party agrees to indemnify, defend and hold harmless the other party and its officers, directors, agents and employees from and against any claim, loss, liability, damage or expense (including reasonable attorney fees) arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement; provided, however, that the indemnified party gives prompt written notice of any claim and cooperates reasonably in the defense at the indemnifying party's expense.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below (or such other address as a party may designate by written notice).

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. The parties submit to the exclusive jurisdiction of the competent state and federal courts located in that State for any action arising out of this Agreement.

This Agreement, including any exhibits and the NPMA Forms incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, representations and warranties, whether written or oral.

Amendments; Severability

No amendment or modification of this Agreement shall be binding unless executed in writing by authorized representatives of both parties. If any provision of this Agreement is held invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable and the remaining provisions shall remain in full force and effect.
