WHEREAS

WHEREAS, Client seeks to implement a structured Net Promoter Score (NPS) program to measure customer loyalty, feedback, and related metrics; and

WHEREAS, Provider has represented that it possesses the personnel, expertise, tools and methodologies necessary to design, administer and report on NPS surveys and associated analytics; and

WHEREAS, the parties desire to set forth their respective responsibilities, deliverables, commercial terms and protections in writing.

SCOPE OF WORK

Provider will perform the following services in accordance with the terms of this Agreement. Deliverables and acceptance criteria are described below.

Late payment: A late fee of % per month (or the maximum permitted by law, if less) will be applied to overdue balances. Provider may also suspend services for invoices overdue by more than days after written notice.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective termination date. Termination for material breach may be immediate if the breaching party fails to cure such breach within days after receipt of written notice.

On termination, Client will pay Provider for all services performed and expenses incurred up to the effective date of termination. Provider will deliver any completed deliverables and a pro rata invoice for work in progress.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential and shall not disclose to any third party any Confidential Information disclosed by the other party (the Disclosing Party). Confidential Information includes but is not limited to customer lists, raw responses containing personally identifiable information, pricing, methodologies, software, and non-public business information. Confidential Information does not include information that is publicly known through no fault of the Receiving Party, independently developed by the Receiving Party, or rightfully received from a third party without an obligation of confidentiality.

The Receiving Party shall use Confidential Information solely for the performance of this Agreement and shall restrict access to those employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. The obligations of confidentiality shall survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as such information constitutes a trade secret under applicable law.

DATA OWNERSHIP; PRIVACY; SECURITY

Ownership of aggregated and anonymized NPS metrics and reports created by Provider in the course of performance shall be assigned to Client. Provider shall retain ownership of its proprietary tools, algorithms and methods used to generate such metrics, provided that no proprietary tool or algorithm shall be delivered to Client as part of deliverables.

Provider will implement reasonable administrative, physical and technical safeguards to protect personal data collected in connection with the services. Personal data will be processed only for purposes of performing the services and will be retained for no longer than necessary unless otherwise required by law. Client instructs Provider to:

REPRESENTATIONS; LIMITATION OF LIABILITY

Each party represents and warrants that it has the authority to enter into this Agreement. Provider will perform services in a professional and workmanlike manner. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INDIRECT, EXEMPLARY OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF PROVIDER FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID TO PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Venue for any dispute arising under or related to this Agreement shall be the state or federal courts located in that state.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.
