This Business NPS Agreement ("Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Client seeks to measure and improve customer experience using Net Promoter Score (NPS) surveys and related analytics; and

WHEREAS, Service Provider has expertise in designing, distributing, scoring, and reporting NPS surveys and will provide the services described herein in exchange for the fees set forth below.

WHEREAS, the parties intend for this Agreement to set forth the scope, delivery milestones, payment terms, data ownership, confidentiality, and governing law for the NPS program.

Scope of Work

Service Provider shall perform the services described below. Deliverables include survey design, distribution, response collection, scoring, analysis, and delivery of reports as set forth in this Scope of Work. Acceptance of deliverables shall be in accordance with the acceptance criteria described below.

Scoring Methodology and Sample Requirements

NPS shall be calculated as the percentage of Promoters (scores 9-10) minus the percentage of Detractors (scores 0-6). Passives (7-8) are counted in total responses but not in promoter/detractor counts. Service Provider shall provide raw response counts, calculation worksheets, and summary tables as part of each report.

Service Provider will document sampling methodology, randomization or selection approach, and margin of error for each report. Any deviation from the agreed sampling plan must be documented and approved in writing by Client.

Data Ownership and Privacy

All aggregated NPS scores, derived metrics, and analytics created under this Agreement are the property of Client. Raw respondent data, including personally identifiable information (PII), shall be handled in accordance with the privacy and security obligations set forth below. Service Provider shall not sell or otherwise transfer respondent PII to any third party without Client's prior written consent.

If anonymization is selected, Service Provider shall remove direct identifiers prior to delivery of data and retain linkage keys only as required for agreed reporting windows, after which linkage keys must be destroyed unless otherwise agreed in writing.

Payment Terms

Client shall pay Service Provider the fees set forth below for services and deliverables. Fees are exclusive of taxes unless otherwise required by law.

Invoices are due within the agreed payment term from invoice date. Late payments shall accrue interest as specified above and Service Provider may suspend services upon written notice if invoices remain unpaid beyond thirty (30) days.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above, or immediately upon insolvency or bankruptcy of the other party. Upon termination, Service Provider shall deliver all work in progress and Client shall pay for services performed through the effective date of termination.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any Confidential Information of the other party. "Confidential Information" includes respondent PII, non-public business information, pricing, and proprietary analytics. Confidentiality obligations shall survive termination for a period of three (3) years, except with respect to trade secrets, which shall remain confidential for as long as they qualify as trade secrets.

Representations and Warranties; Limitation of Liability

Each party represents that it has the authority to enter into this Agreement. Service Provider warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT UNDER THIS AGREEMENT DURING THE PRIOR TWELVE (12) MONTHS.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of laws principles.

Entire Agreement

This Agreement, together with all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written, relating to the subject matter hereof. Any amendment must be in writing and signed by both parties.

Miscellaneous Provisions

Notices under this Agreement shall be delivered to the addresses set forth above. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
