BUSINESS NRC DOCUMENT

THIS BUSINESS NRC DOCUMENT (the "Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Client desires the Service Provider to perform certain non-recurring services and installations for the Client, which will give rise to a non-recurring charge ("NRC");

WHEREAS, Service Provider has the experience and capability to perform such services on the terms and conditions set forth in this Agreement;

WHEREAS, the parties intend to record in writing the scope, payment terms, and other material provisions governing the NRC and related services;

SCOPE OF WORK

The Service Provider shall perform the services described above in a professional and workmanlike manner consistent with industry standards. Any change to the Scope of Work shall be made only by written change order signed by both parties, which shall specify any change to the NRC amount, schedule, or other material terms.

PAYMENT TERMS

Unless otherwise agreed in writing, Client shall pay the NRC within days of the Service Provider's invoice date. All invoiced amounts not paid when due shall accrue interest at the lesser of (i) an annual rate equal to per month, compounded monthly, or (ii) the maximum rate permitted by applicable law. In addition to interest, the Service Provider may charge a one-time late fee of for delinquent invoices.

Client is responsible for all taxes, duties, and governmental charges (excluding taxes imposed on Service Provider's net income). If applicable, such taxes will be invoiced separately unless Client provides an acceptable tax exemption certificate.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Section, shall expire on .

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days following written notice. Termination for convenience by Client requires payment of all accrued amounts and reasonable wind-down costs incurred by Service Provider to the date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public business, technical, financial or other information disclosed by either party in connection with this Agreement. Each party shall (i) maintain the confidentiality of the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care, (ii) use Confidential Information solely to exercise rights and perform obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to its employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations no less restrictive than those herein. Confidential obligations shall survive termination for a period of three (3) years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for the resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any executed change orders or schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment, modification or waiver of any provision of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that, to the extent possible, achieves the economic, legal and commercial objectives of the invalid provision.
