WHEREAS

WHEREAS, Business Owner operates the business identified above and requires a unique business number for identification, compliance, and transactional purposes; and

WHEREAS, Registrar is engaged in the assignment, issuance, maintenance, and verification of business numbers and agrees to provide such services to Business Owner subject to the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement, the parties agree as follows:

Late payments shall accrue interest at a rate of on the unpaid balance from the due date until paid in full. Registrar may suspend services for any payment more than past due.

4. TERM AND TERMINATION

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice not less than prior to the effective termination date. Termination for cause may be immediate where the breaching party fails to cure material breach within fourteen (14) days of receipt of written notice specifying the breach.

5. CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence and shall not disclose to any third party any confidential or proprietary information ("Confidential Information") of the other party (the "Disclosing Party"), except as required by law. Confidential Information includes, but is not limited to, business numbers, registration data, pricing, client lists, technical data, and any information clearly designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall use Confidential Information solely for the performance of its obligations under this Agreement and shall limit access to Confidential Information to those employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein. The obligations in this Section shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

6. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full right, power, and authority to enter into and perform this Agreement, that the execution and performance hereof will not violate any applicable law, and that the information provided to the other party is true, accurate, and complete to the best of its knowledge.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located within that State for any dispute arising out of this Agreement.

8. LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for incidental, consequential, punitive, or special damages, and each party's aggregate liability under this Agreement shall be limited to the fees actually paid to Registrar under this Agreement in the twelve (12) months immediately preceding the claim.

9. ENTIRE AGREEMENT

This Agreement, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and representations, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

10. CERTIFICATION

Business Owner certifies that the information provided on this form is true and accurate and authorizes Registrar to assign, issue, or reserve the proposed business number in accordance with the terms of this Agreement. Business Owner acknowledges that false statements may subject Business Owner to administrative penalties or revocation of any number issued.
