Parties and Effective Date

This General Business Agreement (the Agreement) is entered into as of (Effective Date), by and between:

WHEREAS

WHEREAS, Client desires to engage Service Provider to perform certain business services and deliverables described herein; and

WHEREAS, Service Provider represents that it has the experience, expertise and resources necessary to perform such services in accordance with the terms and conditions of this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows:

Scope of Work

Service Provider shall perform the services and deliverables described below. The description constitutes the entire scope of work unless amended in writing and signed by both parties.

Payment Terms

Client shall pay Service Provider for the services rendered in accordance with the schedule and amounts set forth below. All fees are exclusive of taxes unless otherwise stated; Client is responsible for any sales, use, VAT or similar taxes arising from this Agreement.

Reimbursable expenses shall be billed separately and supported by receipts. Reimbursement: Yes

Term and Termination

This Agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice. Either party may terminate immediately for insolvency, bankruptcy, or the appointment of a receiver for the other party.

Confidentiality

"Confidential Information" means all non-public information disclosed by a disclosing party to the receiving party that is designated as confidential or that reasonably should be understood to be confidential. The receiving party shall hold Confidential Information in strict confidence, shall use it only for performance under this Agreement, and shall not disclose it to any third party except as required by law or with the disclosing party's prior written consent.

The obligations in this Section shall survive termination of this Agreement for a period of after the termination or expiration of this Agreement.

Independent Contractor; Insurance

Service Provider is an independent contractor and not an employee, agent, or partner of Client. Service Provider is solely responsible for withholding taxes and providing insurance coverage as required by law. Service Provider shall maintain commercial general liability insurance in customary amounts and other coverages as required for the services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to principles of conflicts of law.

Entire Agreement; Amendments

This Agreement, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings.

No amendment or modification of this Agreement will be effective unless in writing and signed by duly authorized representatives of both parties.

Severability and Remedies

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The remedies provided in this Agreement are cumulative and not exclusive of any remedies provided by law.
