The Services shall include all tasks, deliverables, milestones and acceptance criteria set out in the Description of Services above. Service Provider shall perform the Services in a professional and workmanlike manner consistent with industry standards and in accordance with any schedule agreed by the parties.

Payment Terms

Unless otherwise agreed in writing, Service Provider shall submit invoices in accordance with the Payment Schedule. Client shall pay undisputed amounts within the number of days stated above from receipt of invoice. Disputed items shall be promptly raised in writing and the parties shall use commercially reasonable efforts to resolve such disputes.

Overdue payments shall accrue interest at the Late Fee rate above or the maximum rate permitted by applicable law, whichever is lower. Reasonable collection costs, including attorneys' fees, shall be recoverable by the prevailing party.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least the number of days set forth above. Either party may terminate immediately for material breach that remains uncured for thirty (30) days after written notice of breach, or immediately for insolvency or cessation of business.

Each party agrees that Confidential Information disclosed by the other party shall be held in strict confidence and shall not be used or disclosed except as necessary to perform obligations under this Agreement. Confidential Information excludes information that: (a) is or becomes publicly available through no breach of this Agreement; (b) is lawfully obtained from a third party without restriction; or (c) is independently developed without use of the other party's Confidential Information.

If a party is compelled by valid process to disclose Confidential Information, it shall provide prompt written notice to the other party (to the extent permitted) so that the other party may seek protective measures. Any permitted disclosure shall be limited to that portion of Confidential Information that is legally required to be disclosed.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice of law principles. Venue for any dispute arising out of this Agreement shall lie in the state or federal courts located in the chosen state, unless the parties agree otherwise in writing.

Entire Agreement & Miscellaneous
