RECITALS

WHEREAS, Client desires to engage Service Provider to perform certain business services as further described in this Agreement; and

CONFIDENTIALITY

Each party acknowledges that during performance it may obtain Confidential Information of the other party. "Confidential Information" includes business plans, financial data, customer lists, trade secrets, and any information designated confidential or which reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Receiving party shall (a) hold Confidential Information in strict confidence; (b) not disclose it to any third party except as necessary to perform this Agreement and subject to confidentiality obligations at least as protective as those herein; and (c) use Confidential Information only to exercise rights and perform obligations under this Agreement. Confidential Information shall not include information that is or becomes publicly known through no breach by the receiving party, is rightfully received without restriction from a third party, or is independently developed without use of the disclosing party's Confidential Information.

Upon termination or upon the disclosing party's written request, receiving party shall promptly return or destroy all Confidential Information and certify in writing that such return or destruction has occurred, except to the extent retention is required by applicable law or internal document retention policies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of courts located in that State for disputes arising under this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, including any exhibits or signed change orders, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral.

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to a successor in interest in connection with a merger or sale of substantially all assets.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
