BUSINESS OFFICE AGREEMENT

This Business Office Agreement (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Client operates a business requiring administrative, clerical and office management services and desires to engage Service Provider to perform such services under the terms set forth herein; and

WHEREAS, Service Provider represents that it has the experience, personnel and qualifications necessary to provide the services described in this Agreement and agrees to perform those services in a professional manner consistent with industry standards.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Scope of Work

Service Provider will perform the services described above and any related tasks reasonably necessary to complete those services. Deliverables, acceptance criteria and any milestones shall be as set forth in the scope of work or in written task orders executed by both parties.

Payment Terms

Late payments shall accrue interest at the lesser of the maximum rate permitted by law or per month, compounded monthly, on the outstanding balance until paid in full. Client is responsible for all reasonable collection costs, including attorneys' fees, for overdue amounts.

Term and Termination

The term of this Agreement shall commence on and continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party that remains uncured for thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Each party (the Recipient) shall hold in strict confidence and shall not disclose to any third party any Confidential Information of the other party (the Discloser). "Confidential Information" means non-public information marked or identified as confidential or that, by its nature, reasonably should be understood to be confidential. Confidential Information does not include information that: (a) is or becomes generally available to the public other than by breach of this Agreement; (b) is already known to the Recipient without restriction prior to disclosure; (c) is received from a third party without breach of an obligation of confidentiality; or (d) is independently developed by Recipient without use of Discloser's Confidential Information.

The obligations in this Section shall survive termination of this Agreement for a period of unless a longer period is required by applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to rules on conflicts of law. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any action arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including any exhibits or task orders executed under it, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous negotiations, understandings and agreements, whether written or oral, relating to its subject matter. No modification of this Agreement is binding unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided above or such other address as a party designates by written notice. Notices are effective upon delivery if delivered personally, by nationally recognized overnight courier, or three (3) days after deposit in the U.S. mail, postage prepaid.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to a successor by merger or sale of substantially all of its assets. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
