GENERAL BUSINESS AGREEMENT

This General Business Agreement (the "Agreement") is made effective as of Effective Date: by and between:

RECITALS

WHEREAS, Client desires to obtain certain professional services from Service Provider and Service Provider is willing to provide such services on the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend that the scope, compensation, term and confidentiality obligations between the parties be documented and enforced as set forth below.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

SCOPE OF WORK

Service Provider shall perform the services described below (the "Services"), which shall be performed in a professional and workmanlike manner consistent with industry standards.

COMPENSATION AND PAYMENT TERMS

Client shall pay Service Provider for the Services in accordance with the following terms.

Invoices shall be issued by Service Provider in accordance with the Payment Schedule. Client shall pay each undisputed invoice within days of receipt. Disputed amounts must be asserted in writing within ten (10) days of invoice receipt and the parties shall negotiate in good faith to resolve disputed items.

If payment is not made when due, Client shall be responsible for reasonable collection costs, including attorneys' fees, and interest as set forth above, to the extent permitted by law.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party that remains uncured thirty (30) days after written notice of such breach.

CONFIDENTIALITY

For the purpose of this Agreement, "Confidential Information" means all nonpublic information disclosed by one party to the other, whether disclosed orally, visually or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, customer lists, pricing, technical data and trade secrets.

The receiving party shall: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) not disclose Confidential Information to any third party except as permitted by this Agreement; and (c) use Confidential Information only to perform its obligations or exercise its rights under this Agreement.

Confidentiality obligations under this Agreement shall survive termination for a period of months, except with respect to trade secrets, for which the obligations shall survive for as long as the information remains a trade secret under applicable law.

REPRESENTATIONS, WARRANTIES AND COVENANTS

Each party represents and warrants that it has the full power and authority to enter into and perform under this Agreement and that the execution and performance of this Agreement does not violate any other agreement to which it is a party.

Service Provider warrants that the Services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, SERVICE PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, damages and expenses arising from the indemnifying party's gross negligence, willful misconduct or material breach of this Agreement.

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING FROM THIS AGREEMENT, WHETHER IN CONTRACT, TORT OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, THE AGGREGATE LIABILITY OF EITHER PARTY FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

INDEPENDENT CONTRACTOR

Service Provider is an independent contractor and not an employee, agent or partner of Client. Service Provider shall be responsible for all taxes and other obligations arising from its performance of the Services.

NOTICES

Any notice required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate in writing.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement by negotiation between senior executives. If the dispute cannot be resolved by negotiation within thirty (30) days, the parties may pursue any remedy available at law or in equity.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.

SEVERABILITY; WAIVER

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of either party to enforce any right or remedy under this Agreement shall not constitute a waiver of such right or remedy.
