BUSINESS OFFICE SERVICES AGREEMENT

This Business Office Services Agreement ("Agreement") is entered into as of Effective Date: by and between Service Provider Name: with principal address , and Client Name: with principal address .

WHEREAS

WHEREAS, Service Provider has experience and expertise in providing business office administrative, billing, collections, and related support services; and

WHEREAS, Client desires to retain Service Provider to perform certain office services described herein, and Service Provider is willing to provide such services under the terms and conditions set forth in this Agreement.

SCOPE OF WORK

Service Provider shall perform the services described below and any other services expressly agreed in writing by the parties. Services include but are not limited to administrative support, accounts receivable management, billing and invoicing, claims follow-up, record keeping, and office coordination as further detailed in the Scope of Work.

PAYMENT TERMS

Client shall pay Service Provider for services rendered in accordance with the fee schedule set forth below.

All fees are payable in U.S. dollars. Service Provider shall invoice Client in accordance with the Payment Schedule. Unless otherwise agreed in writing, invoices are due on receipt and considered past due on the date set forth above; Client shall be responsible for all reasonable collection costs, including attorneys' fees, incurred by Service Provider to collect past due amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing the other party written notice in the number of days specified above. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receiving written notice describing the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence and not disclose to any third party any Confidential Information of the other party (the "Disclosing Party"). "Confidential Information" means all non-public business, financial, technical and other information disclosed by the Disclosing Party that is designated as confidential or that reasonably should be understood to be confidential. The Receiving Party shall use Confidential Information solely to perform its obligations under this Agreement.

Confidentiality obligations shall not apply to information that (a) is or becomes public through no fault of the Receiving Party, (b) was known to the Receiving Party prior to disclosure as evidenced by written records, (c) is lawfully received from a third party free of any obligation of confidentiality, or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information. Upon termination or expiration of this Agreement, the Receiving Party shall promptly return or destroy all Confidential Information of the Disclosing Party and certify such return or destruction in writing upon request.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct. Except for payment obligations and claims arising from willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages, and each party's aggregate liability under this Agreement shall be limited to the total fees paid or payable to Service Provider in the six (6) months preceding the event giving rise to the claim.

INSURANCE AND COMPLIANCE

Service Provider shall maintain commercial general liability and professional liability insurance appropriate for the services provided and shall comply with all applicable laws and regulations in the performance of services hereunder. Upon request, Service Provider shall provide evidence of insurance to Client.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration conducted in the county where Client's principal place of business is located, unless the parties mutually agree otherwise in writing.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign or transfer this Agreement without the prior written consent of the other party, except that Service Provider may assign this Agreement to an affiliate or in connection with a sale of substantially all of its assets. Notices under this Agreement shall be in writing and delivered to the contact information set forth below.
